- Validity: This Purchase Order is valid for a period of twelve (12) months commencing July 1, 2025, and shall be renewed upon mutual written agreement of both parties. The Radiologist must maintain a valid PRC license and Philippine Board of Radiology certification throughout the engagement period in the Philippines Manila jurisdiction.
- Payment Terms: Payment for all Radiologist services rendered under this Purchase Order shall be made within thirty (30) days from the date of invoice submission. Payment shall be processed via bank transfer to the account designated by the Radiologist. All amounts are denominated in Philippine Pesos (PHP).
- Scope of Practice: The Radiologist shall perform all diagnostic imaging interpretations, produce written radiological reports within twenty-four (24) hours for routine cases and within four (4) hours for emergency cases, and attend to all patients at the St. Luke's Diagnostic Imaging Center facility in the Philippines Manila area.
- Compliance: The Radiologist shall comply with all applicable laws and regulations of the Republic of the Philippines, including but not limited to the Philippine Medical Act (RA 2382), the Data Privacy Act (RA 10173), and all FDA Philippines Manila radiation safety guidelines.
- Confidentiality: The Radiologist shall maintain strict confidentiality of all patient records and imaging data in accordance with Philippine medical ethics and data privacy laws. No patient information shall be disclosed to third parties without written consent.
- Termination: Either party may terminate this Purchase Order with a thirty (30) day written notice. In the event of termination, the Radiologist shall be compensated for all services rendered up to the effective date of termination.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in the Philippines Manila jurisdiction, and failing mediation, through the appropriate courts of the Republic of the Philippines.
- Insurance: The Radiologist shall maintain a valid professional liability insurance policy with a minimum coverage of PHP 5,000,000.00 for the duration of this Purchase Order engagement.
