Invoices shall be submitted on the last business day of each calendar month, and payment shall be due within thirty (30) days of invoice receipt.
3. Regulatory Compliance: The assigned Radiologist must hold a valid specialist certificate in Radiology and Diagnostic Imaging issued under the Russian Federation medical licensing framework. All services rendered in Russia Moscow must comply with Federal Law No. 323-FZ "On the Fundamentals of Health Protection of Citizens in the Russian Federation" and applicable sanitary regulations.
4. Confidentiality: The Radiologist and all personnel engaged under this Purchase Order shall maintain strict confidentiality of all patient medical records, imaging data, and diagnostic reports in accordance with Federal Law No. 152-FZ on Personal Data and the medical confidentiality provisions of Russian law.
5. Performance Standards: The Radiologist shall deliver diagnostic reports within four (4) hours for routine cases and within one (1) hour for emergency and critical findings. A minimum diagnostic accuracy rate of 97% as verified by quarterly peer-review audits in Russia Moscow shall be maintained.
6. Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of material breach by the Radiologist or the Service Provider, the Purchasing Entity may terminate immediately upon written notice.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Arbitration Court of Moscow, Russia Moscow.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting operations in Russia Moscow.

The Radiologist services specified in this Purchase Order shall commence on 1 July 2025 at the Moscow Regional Diagnostic Imaging Center facility, 12 Tverskaya Street, Building 4, Russia Moscow. The Service Provider shall ensure that the assigned Radiologist is present and fully operational on the first day of the contract period. All necessary equipment access, PACS system credentials, and facility orientation shall be completed within the first five (5) business days.
