2. Description of Procured ServicesThis Purchase Order is issued by Neva Medical Procurement Group LLC for the engagement of a qualified Radiologist to provide comprehensive diagnostic imaging interpretation services at the Neva Diagnostic Imaging Center, located at 8, Moskovsky Avenue, Saint Petersburg, 190068, Russia. The Radiologist shall be responsible for the interpretation of all computed tomography (CT), magnetic resonance imaging (MRI), digital X-ray, and ultrasound examinations performed at the facility. All services shall be rendered in accordance with the Federal Law of the Russian Federation No. 323-FZ "On the Fundamentals of Health Protection of Citizens in the Russian Federation" and the professional standards established by the Ministry of Health of the Russian Federation for the specialty of Radiology.
The Radiologist engaged under this Purchase Order shall operate within the jurisdiction of Saint Petersburg, Russia, and shall comply with all local regulatory requirements, including data protection obligations under Federal Law No. 152-FZ "On Personal Data" as they pertain to patient medical imaging records. The scope of work is specific to the Saint Petersburg metropolitan area and shall not extend to remote consultation services outside the region without prior written amendment to this Purchase Order.

- Commencement: The Radiologist shall commence duties no later than 1 July 2025 at the Neva Diagnostic Imaging Center, Saint Petersburg. Failure to commence within five (5) business days of the start date shall constitute a material breach of this Purchase Order.
- Compliance: The Radiologist shall maintain a valid professional license issued by the Ministry of Health of the Russian Federation throughout the term of this Purchase Order. All diagnostic reports shall be issued in Russian in compliance with the nomenclature of medical services approved by the Ministry of Health of the Russian Federation.
- Confidentiality: All patient data, imaging files, and diagnostic reports generated under this Purchase Order shall be treated as strictly confidential. The Radiologist shall sign a separate Non-Disclosure Agreement (NDA) prior to the commencement of services in Saint Petersburg.
- Payment: Invoices shall be submitted on the last business day of each calendar month. Payment shall be made via bank transfer to the account specified by the Radiologist within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the key rate of the Central Bank of the Russian Federation.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Radiologist shall complete all pending diagnostic reports for patients seen in Saint Petersburg within fourteen (14) days of the termination effective date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil legislation of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved by the Arbitration Court of Saint Petersburg and the Leningrad Region.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Saint Petersburg region.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Radiologist services in Russia, Saint Petersburg, and that all terms, conditions, and line items set forth herein have been reviewed and accepted in full.
