- This Purchase Order is issued by Han River Medical Group Co., Ltd., a corporation duly registered in Seoul, South Korea, and constitutes a binding agreement for the procurement of Radiologist professional services as described herein.
- The Radiologist named in this Purchase Order shall maintain a valid medical license issued by the Korean Medical Association and a current board certification in Radiology recognized by the Korean Society of Radiology throughout the entire contract term.
- All services shall be performed in compliance with the Medical Service Act of the Republic of Korea, the Personal Information Protection Act (South Korea), and all applicable regulations of the Seoul Metropolitan Government regarding medical practice and patient data handling.
- The Radiologist shall report to the designated facility in Gangnam-gu, Seoul, South Korea, no later than 08:00 KST on each scheduled working day, and shall be available for urgent on-call response within 30 minutes during designated coverage hours.
- Payment shall be processed via bank transfer to the account designated by the Radiologist in accordance with South Korean banking regulations. All invoices must be submitted in Korean Won (KRW) and shall include the applicable Value Added Tax (VAT) at the current South Korean rate of 10%.
- This Purchase Order may be terminated by either party with 60 days' written notice. In the event of termination, all completed services shall be invoiced and paid in full within 30 days of the termination date.
- Any disputes arising from this Purchase Order shall be resolved through mediation in Seoul, South Korea, in accordance with the provisions of the Korean Commercial Arbitration Board. If mediation fails, the matter shall be submitted to the Seoul Central District Court.
- The Radiologist shall maintain professional liability insurance with a minimum coverage of 500,000,000 KRW, issued by a South Korean insurance carrier, for the duration of this Purchase Order.
- All patient imaging data and diagnostic reports generated under this Purchase Order shall be stored in accordance with South Korean data protection laws and shall not be transferred outside the Republic of Korea without explicit written consent from the patient and regulatory approval.
- This Purchase Order is valid only for the contract duration stated above. Any extensions or amendments must be executed in writing by both parties and countersigned in Seoul, South Korea.
