This Purchase Order is issued by Clínica Mediterránea Imaging Centre to formally engage the services of a qualified Radiologist for the provision of diagnostic imaging interpretation, clinical reporting, and related radiological services at the facility located in Spain Barcelona. The Radiologist shall perform duties in accordance with the professional standards established by the Col·legi Oficial de Metges de Barcelona and the Spanish Ministry of Health (Ministerio de Sanidad). The engagement covers a period of twelve (12) months commencing on 1 September 2025 and concluding on 31 August 2026, unless terminated earlier in accordance with the terms set forth in this Purchase Order.

- Payment shall be made on a monthly basis, in arrears, within thirty (30) calendar days of receipt of a valid invoice from the Radiologist. Invoices must reference this Purchase Order number (PO-2025-BCN-0472) and include the NIE of the service provider.
- All payments shall be processed via direct bank transfer (SEPA) to the account designated by the Radiologist. The Buyer shall not be liable for any payment delays caused by incorrect banking information provided by the Supplier.
- Should the Radiologist be absent for more than five (5) consecutive working days without prior written approval from the Director of Medical Operations, the Buyer reserves the right to withhold a pro-rata portion of the monthly fee corresponding to the period of absence.
- Any additional services beyond the scope defined in this Purchase Order must be agreed upon in writing via a supplementary Purchase Order amendment before commencement.
- The Radiologist shall maintain valid professional registration with the Col·legi Oficial de Metges de Barcelona and hold a current licence to practise radiology in Spain. Proof of registration shall be provided at the commencement of the engagement and renewed annually.
- The Radiologist shall comply with all applicable Spanish data protection regulations (LOPDGDD) and the EU General Data Protection Regulation (GDPR) when handling patient imaging data and clinical records at the Spain Barcelona facility.
- The Radiologist shall adhere to the clinical protocols, quality assurance standards, and safety guidelines established by Clínica Mediterránea Imaging Centre and the Spanish Agency of Medicines and Medical Devices (AEMPS).
- The Radiologist shall carry professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of €1,000,000 per claim, maintained throughout the duration of this Purchase Order.
- All diagnostic reports and clinical documentation produced by the Radiologist shall be issued in Spanish, in accordance with the official language requirements for medical records in the Catalonia region of Spain Barcelona.
Either party may terminate this Purchase Order by providing sixty (60) days' written notice to the other party. In the event of material breach, termination may be effected with fourteen (14) days' written notice. Upon termination, all outstanding fees for services rendered up to the effective date of termination shall be settled within thirty (30) days. The Radiologist shall return all facility keys, access credentials, and proprietary clinical materials belonging to the Buyer upon cessation of duties.
7. GOVERNING LAW AND DISPUTE RESOLUTIONThis Purchase Order shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from or in connection with this Purchase Order shall be resolved through the competent courts of Barcelona, Spain Barcelona, unless both parties agree in writing to submit the matter to mediation before the Barcelona Chamber of Commerce (Càmera de Comerç de Barcelona).
