- This Purchase Order constitutes a binding agreement between MediScan Diagnostics AG (hereinafter "the Purchaser") and Dr. Elena Marchetti, Radiologist (hereinafter "the Service Provider"), for the provision of radiological diagnostic and interventional services within the canton of Switzerland Zurich.
- The Radiologist shall perform all services in strict compliance with the Swiss Medical Professional Act (MedBG), the Swiss Radiology Society (SGR) guidelines, and all applicable cantonal regulations governing medical practice in Switzerland Zurich.
- All diagnostic reports, imaging data, and patient records generated under this Purchase Order shall remain the exclusive property of MediScan Diagnostics AG and shall be stored in accordance with the Swiss Federal Act on Data Protection (FADP / nDSG).
- The Radiologist shall maintain full professional medical malpractice insurance with a minimum coverage of CHF 5,000,000 per claim, valid throughout the duration of this Purchase Order. A certificate of insurance shall be provided prior to the commencement of services.
- Payment shall be made via bank transfer to the account specified by the Radiologist within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate of 5% per annum as defined under Swiss Code of Obligations (OR) Article 104.
- The Purchase Order is valid for a period of twelve (12) months from the Required Service Date. Either party may terminate this agreement with sixty (60) days' written notice. In the event of termination, all services rendered up to the termination date shall be invoiced and settled in full.
- All services shall be performed at the facility located at Bahnhofstrasse 42, 8001 Switzerland Zurich, unless otherwise agreed in writing. The Radiologist shall ensure that all equipment used is calibrated and maintained in accordance with Swiss Federal Office of Public Health (BAG) radiation safety standards.
- Any disputes arising from this Purchase Order shall be resolved through mediation in Switzerland Zurich before proceeding to the competent civil courts of the Canton of Zurich. The governing law shall be the law of Switzerland.
- The Radiologist shall not subcontract or delegate any portion of the services outlined in this Purchase Order without prior written consent from the Purchaser.
- This Purchase Order supersedes all prior negotiations, representations, and agreements between the parties regarding the subject matter herein. No amendment shall be valid unless made in writing and signed by both parties.
