1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from this Purchase Order relating to the Radiologist's services in Thailand Bangkok shall be resolved through the Bangkok Commercial Court.
2. Service Location: All services under this Purchase Order shall be rendered at the Bangkok Advanced Radiology & Imaging Centre, 1209 Rama IV Road, Pathum Wan, Bangkok, Thailand, or at such other location in Thailand Bangkok as mutually agreed in writing by both parties.
3. Professional Standards: The Radiologist shall maintain a valid medical license issued by the Thai Medical Council throughout the term of this Purchase Order. All diagnostic interpretations must comply with the Royal College of Radiologists of Thailand guidelines and international ACR (American College of Radiology) standards.
4. Confidentiality: The Radiologist shall treat all patient data, imaging files, and clinical information as strictly confidential in accordance with Thailand's Personal Data Protection Act (PDPA) B.E. 2562 (2019). Breach of confidentiality shall result in immediate termination of this Purchase Order and legal liability.
5. Payment Schedule: Invoices shall be submitted monthly. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice (Fap Kaw) issued in Thailand Bangkok. Late payments shall incur interest at 1.5% per month as per Thai commercial law.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Radiologist shall complete all pending imaging reports within fourteen (14) days of the termination date.
7. Insurance: The Radiologist shall maintain professional medical malpractice insurance with a minimum coverage of THB 10,000,000 per claim, valid throughout the term of this Purchase Order in Thailand Bangkok.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to natural disasters, government mandates, or public health emergencies affecting operations in Thailand Bangkok.
9. Amendments: Any modification to this Purchase Order must be made in writing and signed by both the Buyer's authorized representative and the Radiologist. Verbal agreements shall not constitute a valid amendment.
10. Intellectual Property: All radiology reports, annotated images, and diagnostic findings produced under this Purchase Order shall be the property of Bangkok Metropolitan Health Alliance Co., Ltd. The Radiologist retains the right to use de-identified data for academic research with prior written consent.
