This Purchase Order is issued by Ankara Metropolitan Health Services Group A.S. to formally request and authorize the procurement of specialized Radiologist professional services to be rendered at the Ankara Advanced Radiology & Diagnostic Imaging Center, located in the Çankaya district of Turkey Ankara. This document governs the engagement of board-certified Radiologist specialists for the provision of diagnostic imaging interpretation, clinical consultation, and related radiological services in accordance with the regulations set forth by the Turkish Ministry of Health and the Turkish Medical Association (Türk Tabipleri Birliği) operating within the Ankara metropolitan region.

All Radiologist services specified in this Purchase Order shall be performed exclusively at the supplier's licensed facility in Turkey Ankara, specifically at the address listed in Section 1. The Radiologist personnel engaged under this order must hold valid Turkish medical licenses (Türk Tabipleri Birliği membership) and, where applicable, subspecialty board certification in Radiology and Diagnostic Imaging recognized by the Turkish Ministry of Health. All imaging equipment and diagnostic reports must comply with the current regulations of the Ankara Provincial Directorate of Health (Ankara İl Sağlık Müdürlüğü).

The supplier warrants that every Radiologist engaged under this Purchase Order shall meet the following minimum criteria: (a) a minimum of ten (10) years of post-residency clinical experience in diagnostic or interventional radiology; (b) current and valid membership in the Turkish Medical Association and the Turkish Society of Radiology (Türk Radyoloji Derneği); (c) completion of at least forty (40) hours of continuing medical education (CME) in radiology per calendar year; (d) full compliance with the Turkish Personal Data Protection Law (KVKK — 6698) regarding patient imaging data stored and processed in Turkey Ankara; and (e) valid professional liability insurance with a minimum coverage of TRY 5,000,000 per claim.

Either party may cancel or amend this Purchase Order by providing thirty (30) days' written notice to the other party. In the event of cancellation by the Purchasing Entity, a cancellation fee of 15% of the remaining contract value shall apply. The supplier reserves the right to substitute individual Radiologist personnel with equally qualified replacements, provided prior written approval is obtained from the Purchasing Entity. This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey, and any disputes shall be subject to the exclusive jurisdiction of the commercial courts of Ankara, Turkey.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the procurement of Radiologist services in Turkey Ankara. This document constitutes a binding commercial agreement effective from the date of the last signature.
