1. Payment Terms: Payment shall be made in monthly installments within thirty (30) calendar days of invoice receipt. The initial payment of 15% of the total Purchase Order value shall be due upon execution of this document. 2. Service Delivery Location: All professional services of the Radiologist shall be rendered exclusively at the Marmara Diagnostic Imaging Center facility located in Şişli, Turkey Istanbul, unless otherwise agreed in writing by both parties.
3. Qualification Requirements: The Radiologist engaged under this Purchase Order must hold a valid medical license issued by the Turkish Ministry of Health, a board certification in Radiology from the Turkish Board of Radiology (Türk Radyoloji Derneği), and a minimum of five (5) years of post-residency clinical experience in diagnostic imaging.
4. Regulatory Compliance: The Radiologist shall adhere to all radiation safety protocols, patient data protection regulations (KVKK — Turkish Personal Data Protection Law), and clinical guidelines established by the Istanbul Provincial Health Directorate. Non-compliance shall constitute grounds for immediate termination of this Purchase Order.
5. Confidentiality: Both parties agree to maintain strict confidentiality regarding all patient records, proprietary imaging data, and business terms contained within this Purchase Order. This obligation shall survive the termination of the agreement for a period of five (5) years.
6. Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of gross professional misconduct by the Radiologist, the Purchasing Entity reserves the right to terminate immediately without penalty.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this document shall be subject to the exclusive jurisdiction of the commercial courts in Istanbul, Turkey.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-imposed restrictions affecting the Istanbul region of Turkey.
