The Radiologist shall perform all duties in accordance with the standards set forth by the Department of Health – Abu Dhabi (DoH-AD) and the Abu Dhabi Health Services Company (SEHA) clinical guidelines.

Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Federal Civil Transactions Law and the regulations of the Department of Health – Abu Dhabi. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi, United Arab Emirates.
Service Period: The Radiologist shall provide services as outlined in Section 3 for a period of twelve (12) months commencing on 1 July 2025 and concluding on 30 June 2026, unless terminated earlier in accordance with Clause 7.
Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid tax invoice issued by the Radiologist. Payments shall be processed via bank transfer to the account designated by the service provider. Late payments shall attract a penalty of 1.5% per month as per UAE commercial practice.
Professional Standards: The Radiologist shall maintain all necessary professional licenses, certifications, and malpractice insurance coverage throughout the duration of this Purchase Order. The Radiologist shall adhere to the DoH-AD clinical practice guidelines, radiation safety protocols, and the Abu Dhabi Medical Council code of conduct at all times.
Confidentiality: The Radiologist shall treat all patient data, medical records, and institutional information as strictly confidential in compliance with the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. No patient information shall be disclosed to any third party without written consent.
Equipment and Facility: Al Noor Medical Center, LLC shall provide all necessary imaging equipment, workstations, and clinical space within its Abu Dhabi facility. The Radiologist is responsible for the proper use and reporting of all imaging modalities.
Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of material breach, the non-breaching party may terminate with fourteen (14) days' written notice. Termination shall not affect accrued payment obligations.
Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government directives, or public health emergencies as declared by the Abu Dhabi government.
Amendments: Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements shall not constitute a valid amendment.
Compliance: The Radiologist warrants full compliance with all applicable UAE federal and Abu Dhabi emirate-level healthcare regulations, including but not limited to DoH-AD facility standards, radiation protection regulations, and the UAE Labour Law (Federal Decree-Law No. 33 of 2021).

By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications set forth in this Purchase Order for Radiologist professional services in Abu Dhabi, United Arab Emirates. This document constitutes a binding agreement upon execution by both authorized signatories.
