2. Service Location: All radiologist services under this Purchase Order shall be performed at the MediScan Diagnostic Centre facility located at Building 42, Sheikh Zayed Road, Downtown Dubai, United Arab Emirates Dubai, or at such other approved satellite locations within the emirate of Dubai as mutually agreed in writing.

3. Reporting Standards: The Radiologist shall issue all diagnostic reports in both Arabic and English, utilizing the facility's Picture Archiving and Communication System (PACS). Reports must be uploaded to the patient's electronic medical record within the timeframes specified in the line items above. Any delay exceeding the stipulated window must be communicated to the facility's Medical Director within two (2) hours.

4. Payment Terms: Payment for services rendered under this Purchase Order shall be made via bank transfer to the IBAN specified above within thirty (30) calendar days from the date of receipt of a valid tax invoice. The vendor must submit a consolidated monthly invoice by the 5th of the following month. Late payments shall accrue interest at the rate of 1.5% per month as permitted under UAE commercial law.

5. Compliance and Licensing: The Radiologist warrants that his professional license issued by the Dubai Health Authority remains valid and in good standing throughout the term of this Purchase Order. The vendor shall immediately notify the purchasing entity of any disciplinary action, suspension, or change in registration status. Failure to maintain valid licensure constitutes grounds for immediate termination of this Purchase Order without penalty to the buyer.

6. Confidentiality and Data Protection: All patient imaging data, clinical records, and diagnostic information accessed by the Radiologist in the performance of this Purchase Order are subject to the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and the DHA's Health Data Protection Policy. The Radiologist shall not disclose, copy, or transmit any patient information to third parties without explicit written consent from the patient and authorization from the facility's Data Protection Officer.

7. Insurance and Indemnity: The Radiologist shall maintain a valid professional medical malpractice insurance policy with a minimum coverage of AED 2,000,000 per claim, issued by an insurer licensed in the United Arab Emirates. A certificate of insurance shall be provided to the purchasing entity prior to the commencement of services and renewed annually. 8. Term and Termination: This Purchase Order is valid for a period of twelve (12) months from the date of issue, subject to annual renewal by mutual written agreement. 9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the laws of the emirate of Dubai. Any disputes arising from this Purchase Order shall be resolved through the Dubai Courts or, at the option of the purchasing entity, through arbitration administered by the Dubai International Arbitration Centre (DIAC).
