The Radiologist engaged under this Purchase Order shall be responsible for the interpretation of all radiological imaging studies including but not limited to computed tomography (CT), magnetic resonance imaging (MRI), digital radiography, ultrasound, and fluoroscopic examinations conducted at the facility. The Radiologist shall ensure that all reports are issued in accordance with the Royal College of Radiologists (RCR) standards and the National Health Service (NHS) England clinical governance framework.

1. Scope of Services: The Radiologist shall provide all diagnostic radiology interpretation services as outlined in this Purchase Order. The Radiologist shall be available for a minimum of 38 clinical hours per week at the Manchester Metropolitan Health Trust facility in United Kingdom Manchester, with additional on-call availability as specified in Line Item 02.
2. Compliance and Regulation: The Radiologist shall maintain valid General Medical Council (GMC) registration, Royal College of Radiologists (RCR) membership, and all necessary professional indemnity insurance throughout the duration of this Purchase Order. The Radiologist shall comply with all NHS England regulations, the Ionising Radiation (Medical Examinations) Regulations 2017, and the Data Protection Act 2018 / UK GDPR.
3. Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made within 30 calendar days of receipt of a valid invoice. All payments shall be made via BACS transfer to the bank account nominated by the Radiologist's practice. Late payment interest shall accrue at the rate prescribed by the Late Payment of Commercial Debts (Interest) Act 1998.
4. Confidentiality and Data Protection: The Radiologist shall handle all patient data in strict accordance with the UK GDPR and the NHS Confidentiality and Patient Information Code of Practice. No patient-identifiable information shall be removed from the United Kingdom Manchester facility premises without explicit written authorisation from the Data Protection Officer of Manchester Metropolitan Health Trust.
5. Termination: Either party may terminate this Purchase Order by providing 90 days' written notice. Manchester Metropolitan Health Trust reserves the right to terminate this Purchase Order immediately in the event of material breach, loss of GMC registration, or failure to maintain adequate professional indemnity cover.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Kingdom Manchester.
7. Intellectual Property: All radiological reports, annotations, and diagnostic findings generated under this Purchase Order shall remain the property of Manchester Metropolitan Health Trust. The Radiologist shall not reproduce or distribute such materials without prior written consent.

The Radiologist shall commence services no later than 01 August 2025 at the Manchester Metropolitan Health Trust main imaging suite, Deansgate, Manchester, United Kingdom Manchester. All equipment listed in Line Item 04 shall be installed, calibrated, and operational prior to the commencement date. The Radiologist shall attend a mandatory induction and clinical governance briefing on 28 July 2025 at 09:00 hours.

This Purchase Order is authorised and issued by the undersigned on behalf of Manchester Metropolitan Health Trust. The Radiologist's acceptance of this Purchase Order shall constitute full agreement to all terms, conditions, and obligations set forth herein.
