This Purchase Order is issued by South Florida Imaging & Diagnostics Center, LLC to formally engage the services of a board-certified Radiologist for the provision of diagnostic imaging interpretation, clinical consultation, and radiological reporting services within the United States Miami metropolitan healthcare district. The Radiologist shall perform all duties in accordance with the American College of Radiology (ACR) standards of practice, the Florida Board of Medicine regulations, and all applicable federal and state healthcare compliance requirements governing the United States Miami jurisdiction.

The Radiologist is engaged to provide comprehensive interpretation of computed tomography (CT), magnetic resonance imaging (MRI), digital mammography, ultrasound, fluoroscopy, and nuclear medicine studies. All radiological reports generated under this Purchase Order shall be delivered electronically through the facility's Picture Archiving and Communication System (PACS) and integrated into the patient's electronic health record (EHR) within the turnaround times specified in Section 5.

1. Validity: This Purchase Order is valid for a period of twelve (12) months commencing July 1, 2025, and terminating June 30, 2026, unless renewed in writing by both parties. The Radiologist shall maintain all professional licenses, board certifications, and malpractice insurance coverage throughout the term.
2. Payment Terms: Net 30 days from the date of invoice submission. Invoices shall be submitted by the 5th business day of the following month. Payment shall be made via ACH transfer to the account designated by the Radiologist on file with the Buyer's accounts payable department in United States Miami.
3. Compliance: The Radiologist shall comply with all HIPAA regulations, the Florida Medical Practice Act, ACR accreditation standards, and all local ordinances applicable to the United States Miami healthcare district. Failure to maintain compliance shall constitute grounds for immediate termination of this Purchase Order.
4. Malpractice Insurance: The Radiologist shall carry a minimum of $2,000,000 per occurrence / $6,000,000 aggregate professional liability insurance, naming the Buyer as an additional insured. Certificates of insurance shall be provided prior to the commencement of services.
5. Turnaround Times: Routine radiological reports shall be finalized within 24 hours of image acquisition. Statutory / emergency reports shall be delivered within 30 minutes. Failure to meet these timelines shall result in a 5% reduction in the affected line item for the applicable month.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. The Buyer may terminate immediately for cause, including but not limited to loss of medical license, board certification lapse, or material breach of any term herein.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, with jurisdiction vested in the courts of Miami-Dade County, United States Miami.
8. Confidentiality: All patient data, imaging studies, and proprietary operational information exchanged under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without written authorization, in accordance with HIPAA and Florida Statute Chapter 395.
