The following terms govern this Purchase Order for Radiologist services in Vietnam Ho Chi Minh City:
3.1 Commencement and Duration: Services shall commence on 1 July 2025 and continue for a period of twelve (12) months, subject to mutual renewal. The Radiologist shall be physically present at the Saigon Advanced Diagnostics Center facility in District 3, Vietnam Ho Chi Minh City, during all scheduled working hours.
3.2 Payment Terms: Payment shall be made via bank transfer within fifteen (15) calendar days of receipt of a valid invoice. All payments are denominated in Vietnamese Dong (VND). The issuing entity shall withhold applicable personal income tax as required by Vietnam tax law.
3.3 Regulatory Compliance: The Radiologist shall maintain a valid professional license issued by the Vietnam Ministry of Health and shall comply with all radiation safety regulations, patient data protection laws, and medical practice standards applicable in Vietnam Ho Chi Minh City and the broader Ho Chi Minh City municipal jurisdiction.
3.4 Confidentiality: The Radiologist agrees to maintain strict confidentiality of all patient records, imaging data, and proprietary operational information of the issuing entity. This obligation survives termination of this Purchase Order for a period of five (5) years.
3.5 Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach, termination may be effected immediately upon written notice. All outstanding invoices for services rendered prior to termination shall be settled within the standard payment period.
3.6 Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through negotiation in good faith. Failing resolution within thirty (30) days, disputes shall be submitted to the Vietnam International Arbitration Centre (VIAC) in Ho Chi Minh City for binding arbitration.
This Purchase Order constitutes a formal and binding procurement instrument. By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined herein. This document is issued in accordance with the internal procurement policies of Saigon Advanced Diagnostics Center and the commercial regulations of the Socialist Republic of Vietnam.
