1. Description of Purchase – Robotics Engineer Services

This Purchase Order is issued by Sahara Advanced Technologies SARL (hereinafter referred to as "the Buyer") to Atlas Robotics & Automation Consulting Ltd. (hereinafter referred to as "the Vendor") for the engagement of a qualified Robotics Engineer to provide specialized technical services at the Buyer's industrial facility located in Algeria, Algiers. The Robotics Engineer shall be responsible for the design, development, integration, and maintenance of automated robotic systems within the Buyer's manufacturing and logistics operations. This Purchase Order constitutes a binding agreement for the procurement of professional engineering services as detailed herein.

The Robotics Engineer engaged under this Purchase Order shall possess a minimum of a Master's degree in Robotics, Mechatronics, or a closely related engineering discipline, along with a minimum of eight (8) years of progressive experience in industrial robotics, automated control systems, and programmable logic controller (PLC) programming. The Robotics Engineer must demonstrate proven expertise in the deployment of robotic arms, collaborative robots (cobots), autonomous mobile robots (AMRs), and sensor fusion systems in industrial environments. All work shall be performed on-site at the Buyer's premises in Algeria, Algiers, specifically at the industrial complex situated in the Oued Smar Technopark, Zone Industrielle, 16000 Algiers.

2. Scope of Work and Deliverables

The Robotics Engineer shall deliver the following services under this Purchase Order:

Subtotal: 21,050,000 DZD

VAT (19%): 3,999,500 DZD

Total Purchase Order Amount: 25,049,500 DZD (Twenty-Five Million Forty-Nine Thousand Five Hundred Algerian Dinars)

3. Terms and Conditions

3.1 This Purchase Order shall be governed by and construed in accordance with the laws of the People's Democratic Republic of Algeria, including but not limited to the Algerian Commercial Code and applicable labor regulations pertaining to the engagement of a Robotics Engineer in the industrial sector.

3.2 The Robotics Engineer shall comply with all safety standards and occupational health regulations in force in Algeria, Algiers, including the Algerian standards (NPA) and applicable ISO safety directives for industrial robotics (ISO 10218, ISO/TS 15066).

3.3 The Vendor shall ensure that the Robotics Engineer assigned to this Purchase Order holds all necessary professional certifications and valid work permits for the performance of engineering services in Algeria. Any change in the assigned Robotics Engineer requires prior written approval from the Buyer.

3.4 Payment shall be made in three (3) installments: 30% upon signing and acceptance of this Purchase Order, 50% upon successful commissioning and acceptance of all robotic systems at the Algeria, Algiers facility, and 20% upon completion of the training program and delivery of all documentation.

3.5 The Vendor shall provide a performance bond equivalent to 10% of the total Purchase Order value, to be issued by a bank operating in Algeria, in favor of the Buyer.

3.6 All intellectual property developed specifically for the Buyer under this Purchase Order by the Robotics Engineer shall become the exclusive property of the Buyer upon full payment.

3.7 The Vendor shall indemnify and hold harmless the Buyer against any claims, damages, or liabilities arising from the negligence or professional misconduct of the Robotics Engineer during the execution of this Purchase Order.

3.8 Disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent commercial court in Algiers, Algeria.

4. Acceptance and Authorization

This Purchase Order is valid for a period of sixty (60) days from the date of issue. The Vendor shall confirm acceptance of all terms and conditions by signing and returning a copy of this document within ten (10) business days. Failure to respond within this period shall render this Purchase Order null and void.
