1. SCOPE OF PURCHASE ORDERThis Purchase Order is issued by Queensland Advanced Manufacturing Group Pty Ltd (hereinafter referred to as the "Buyer") to RoboTech Solutions Australia Pty Ltd (hereinafter referred to as the "Supplier") for the procurement of professional services rendered by a qualified Robotics Engineer to be deployed at the Buyer's primary operational facility located in Australia Brisbane. This Purchase Order governs all terms, conditions, deliverables, and payment obligations associated with the engagement of the Robotics Engineer for a defined project period. The Robotics Engineer shall be responsible for the design, development, integration, testing, and commissioning of automated robotic systems within the Buyer's manufacturing and logistics operations in Australia Brisbane.

The Robotics Engineer shall commence duties no later than 1 July 2025 at the Buyer's facility situated at 400 George Street, Australia Brisbane, QLD 4000. All services under this Purchase Order shall be performed on-site in Australia Brisbane unless otherwise agreed in writing by both parties. The Robotics Engineer is expected to maintain a minimum of 40 hours per week of dedicated service delivery at the Australia Brisbane location. Any travel, accommodation, or relocation expenses incurred by the Robotics Engineer prior to commencement shall be borne by the Supplier and are not included in the amounts specified in this Purchase Order.
4. PAYMENT TERMSPayment for services rendered under this Purchase Order shall be made on a monthly basis. The Supplier shall submit a detailed invoice to the Buyer's accounts payable department by the 5th business day of each month for services rendered in the preceding calendar month. Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice. All payments shall be made via electronic funds transfer (EFT) to the Supplier's nominated bank account in Australia Brisbane. Late payments shall attract interest at the rate of 1.5% per month as stipulated under the Australian Consumer Law and the Competition and Consumer Act 2010 (Cth).
5. TERMS AND CONDITIONS- Qualifications: The Robotics Engineer engaged under this Purchase Order must hold a minimum of a Bachelor of Engineering (Mechatronics or Robotics) degree from an accredited Australian institution and possess a minimum of five (5) years of post-qualification experience in industrial robotics deployment. The Robotics Engineer must also hold a valid Australian Working Rights visa or citizenship.
- Compliance: All work performed by the Robotics Engineer in Australia Brisbane shall comply with the Work Health and Safety Act 2011 (Qld), the Australian Standard AS/NZS 4819 (Safety of Industrial Robots), and all applicable Queensland state regulations governing automated machinery.
- Confidentiality: The Robotics Engineer shall be bound by a Non-Disclosure Agreement (NDA) covering all proprietary manufacturing processes, product designs, and operational data encountered during the engagement in Australia Brisbane. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Intellectual Property: All designs, code, documentation, and technical deliverables produced by the Robotics Engineer specifically for the Buyer under this Purchase Order shall be the sole intellectual property of the Buyer. The Supplier warrants that no third-party IP rights are infringed by the deliverables.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Buyer shall pay for all services rendered up to the date of termination.
- Insurance: The Supplier shall maintain, at its own cost, a minimum of $20,000,000 in public liability insurance and $10,000,000 in professional indemnity insurance, with the Buyer named as an additional insured party. Certificates of insurance shall be provided prior to the Robotics Engineer's commencement in Australia Brisbane.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Queensland, Australia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Australia Brisbane.
- Subcontracting: The Supplier shall not subcontract any portion of the Robotics Engineer services without prior written consent from the Buyer. Any approved subcontractor shall be bound by the same terms and conditions as set forth in this Purchase Order.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier for the procurement of Robotics Engineer services in Australia Brisbane. No amendment, variation, or waiver of this Purchase Order shall be valid unless made in writing and signed by authorised representatives of both parties.
