All services under this Purchase Order shall be performed at the following locations within Australia Melbourne:
Primary Site: Aurora Advanced Manufacturing Campus, 2200 Dandenong South Road, Dandenong South, Victoria 3175, Australia Melbourne.
Secondary Site (Administrative): Level 12, 470 Flinders Lane, Melbourne, Victoria 3000, Australia Melbourne.
The Robotics Engineer personnel shall report to the designated sites in accordance with the project schedule and shall comply with all site-specific health, safety, and environmental protocols established by Aurora Advanced Manufacturing Pty Ltd.
- This Purchase Order constitutes a binding agreement between Aurora Advanced Manufacturing Pty Ltd (the "Purchaser") and RoboTech Solutions Australia Pty Ltd (the "Supplier") upon acceptance by both parties.
- The Robotics Engineer personnel engaged under this Purchase Order shall be employees or contractors of the Supplier and shall not be deemed employees of the Purchaser. The Supplier retains full responsibility for payroll, superannuation contributions (minimum 11.5% as per Australian Superannuation Guarantee legislation), and all statutory obligations under the Fair Work Act 2009 (Cth).
- All work shall be performed in accordance with applicable Australian and Victorian legislation, including but not limited to the Occupational Health and Safety Act 2004 (Vic), the Fair Work Act 2009 (Cth), and the Privacy Act 1988 (Cth).
- The Robotics Engineer shall maintain all professional certifications, including but not limited to a valid Australian engineering registration with Engineers Australia (CPEng or EngA status) and a current White Card (General Construction Induction) for site access in Australia Melbourne.
- Payment terms: 50% upon commencement of the Robotics Engineer contract, 30% at the six-month milestone, and 20% upon successful completion of the 12-month contract term. All payments shall be made via electronic funds transfer (EFT) to the Supplier's nominated Australian bank account within 30 days of invoice receipt.
- The Supplier shall provide a replacement Robotics Engineer of equivalent or higher qualification within 14 business days should the originally assigned engineer become unavailable for any reason.
- All intellectual property, designs, code, and documentation developed by the Robotics Engineer during the course of this engagement shall be the sole property of the Purchaser.
- This Purchase Order is governed by the laws of the State of Victoria, Australia. Any disputes shall be resolved through the Victorian Small Claims Commission or the Supreme Court of Victoria, Melbourne, as appropriate.
- The Supplier shall maintain professional indemnity insurance of no less than AUD 10,000,000 and public liability insurance of no less than AUD 20,000,000 for the duration of this Purchase Order.
- Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Purchaser shall be liable for services rendered up to the date of termination.
This Purchase Order is issued for the procurement of Robotics Engineer services to be delivered in Australia Melbourne. By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this document.
