The Robotics Engineer shall commence work on 1 July 2025 at the Buyer's facility in Australia Sydney. The design and architecture phase (Item 01) shall be completed by 30 September 2025. PLC programming and sensor integration (Item 02) shall be delivered by 15 November 2025. On-site commissioning and safety testing (Item 03) shall be concluded no later than 31 January 2026. The preventive maintenance retainer (Item 04) shall commence upon successful completion of the Site Acceptance Test (SAT) and shall continue for a period of twelve (12) months. All deliverables must be submitted to the Buyer's project management office in Australia Sydney in both digital (PDF, STEP, and source code) and hard-copy formats.
Payment shall be made in accordance with the following milestone schedule, all amounts in Australian Dollars (AUD):

All invoices must reference this Purchase Order number (PO-2025-04782). Payment terms are Net 30 days from receipt of a valid tax invoice. Late payments shall accrue interest at the rate prescribed under the Australian Consumer Law.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia, and the Commonwealth of Australia. Any disputes shall be resolved through the courts of Australia Sydney.
- Qualifications: The Robotics Engineer assigned to this engagement must hold a minimum of a Bachelor of Engineering (Mechatronics or Robotics) from an Australian accredited institution, a minimum of eight (8) years of post-qualification experience in industrial robotics, and current registration with Engineers Australia. The supplier shall provide certified copies of all qualifications prior to commencement.
- Confidentiality: The Robotics Engineer and all personnel of the Supplier shall be bound by a Non-Disclosure Agreement (NDA) executed concurrently with this Purchase Order. All proprietary data, designs, and operational parameters of the Buyer's facility in Australia Sydney shall be treated as strictly confidential.
- Insurance: The Supplier shall maintain, at its own cost, a minimum of AUD 20,000,000 in public liability insurance and AUD 5,000,000 in professional indemnity insurance, with the Buyer named as an additional insured party. Certificates of insurance shall be provided prior to site access.
- Work Health & Safety: The Robotics Engineer shall comply with all Work Health and Safety obligations under the Work Health and Safety Act 2011 (NSW) and the associated regulations. The Supplier shall provide a site-specific risk assessment and safe work method statements (SWMS) for all high-risk tasks conducted at the Australia Sydney facility.
- Intellectual Property: All work product, designs, code, and documentation created specifically for the Buyer under this Purchase Order shall be the sole intellectual property of Meridian Advanced Automation Pty Ltd upon full payment. The Robotics Engineer shall assign all rights, title, and interest in such work product to the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Buyer shall pay for all work satisfactorily completed up to the date of termination. In the event of termination for cause (material breach), the terminating party shall be entitled to claim damages in addition to any amounts due for completed work.
- Warranty: The Supplier warrants that all services rendered by the Robotics Engineer shall be performed in a professional and workmanlike manner, in accordance with industry best practice. A warranty period of twelve (12) months shall apply to all design and engineering deliverables from the date of SAT sign-off.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government action, or pandemics, provided that the affected party gives prompt written notice.
- Entire Agreement: This Purchase Order, together with the attached NDA, Statement of Work, and any approved variations, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements relating to the procurement of Robotics Engineer services in Australia Sydney.
By signing below, the authorised representatives of both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Robotics Engineer services in Australia Sydney.
