This Purchase Order is issued by Delta Automation & Robotics Ltd. to formally procure the professional services of a qualified Robotics Engineer to be deployed at our primary research and development facility located in Bangladesh Dhaka. The engagement is structured as a full-time, on-site professional services contract for a period of twelve (12) months, with the possibility of extension subject to performance review and mutual written consent of both parties.

The Robotics Engineer shall be responsible for the design, development, testing, and maintenance of industrial robotic systems, automated assembly lines, and advanced mechatronic solutions that support Delta Automation's manufacturing clients across the Bangladesh Dhaka metropolitan region and surrounding industrial zones.

The Robotics Engineer engaged under this Purchase Order must satisfy the following minimum qualifications:

• A minimum of a Master's degree in Robotics, Mechatronics, Mechanical Engineering, or a closely related discipline from a recognized institution.
• A minimum of five (5) years of progressive professional experience in industrial robotics, with at least two (2) years in a senior or lead engineering capacity.
• Demonstrated proficiency in ROS (Robot Operating System), SolidWorks, MATLAB/Simulink, and at least one major PLC programming environment.
• Working knowledge of Bangladeshi industrial standards and regulatory compliance requirements applicable to automated machinery deployed in Bangladesh Dhaka.
• Fluency in English (written and spoken); working proficiency in Bangla is strongly preferred for on-site coordination in Bangladesh Dhaka.
• Valid professional engineering license or equivalent certification recognized by the Bangladesh Council of Scientific & Industrial Research (CSIR) or the Institution of Engineers, Bangladesh (IEB).

The total Purchase Order value of BDT 3,002,650.00 (Three Million, Two Thousand, Six Hundred and Fifty Bangladeshi Taka only) is inclusive of all applicable taxes as mandated by the National Board of Revenue, Bangladesh. Invoices shall be submitted on the last working day of each calendar month for services rendered during that period.

• This Purchase Order constitutes a binding agreement between Delta Automation & Robotics Ltd. and Apex Engineering Talent Solutions upon signature by both authorized representatives.
• The Robotics Engineer shall report to the Delta Automation R&D Facility in Bangladesh Dhaka on a full-time basis, Monday through Saturday, 9:00 AM to 6:00 PM, in accordance with standard working hours observed in the Bangladesh Dhaka industrial sector.
• All intellectual property, designs, prototypes, code, and documentation produced by the Robotics Engineer during the term of this engagement shall be the sole property of Delta Automation & Robotics Ltd.
• The service provider shall maintain comprehensive professional liability and workers' compensation insurance coverage for the duration of the contract, with certificates of insurance submitted prior to the commencement date.
• Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, all work-in-progress deliverables and associated documentation must be handed over to Delta Automation within fourteen (14) days.
• Disputes arising under this agreement shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Arbitration Act, 2001 of the People's Republic of Bangladesh.
• All personal data processed under this engagement shall comply with the Digital Security Act, 2018, and applicable data protection regulations of Bangladesh.

By signing below, both parties acknowledge and accept all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Robotics Engineer at the Bangladesh Dhaka facility. This document, together with any attached annexures, forms the complete agreement between the parties.
