The selected Robotics Engineer must hold a minimum of a Master's degree in Robotics, Mechatronics, or a closely related engineering discipline, and possess a minimum of seven (7) years of progressive professional experience in industrial robotics applications. The Robotics Engineer shall report directly to the Chief Technology Officer and shall work full-time (40 hours per week) on-site at the Belgium Brussels headquarters, with occasional travel to partner facilities within the European Union as required by project scope.

1. Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice. Invoices shall be submitted monthly in arrears. All payments shall be made via bank transfer to the supplier's designated account in Belgium Brussels.
2. Performance Standards: The Robotics Engineer shall meet all Key Performance Indicators (KPIs) as defined in the attached Statement of Work (SOW-RE-2025-0472). Failure to meet KPIs for two consecutive quarters shall entitle the Buyer to terminate this Purchase Order with thirty (30) days' written notice.
3. Confidentiality and IP: All intellectual property, designs, code, and documentation created by the Robotics Engineer during the term of this Purchase Order shall be the exclusive property of Brussels Advanced Automation Solutions S.A. The Robotics Engineer shall sign a Non-Disclosure Agreement (NDA) and Intellectual Property Assignment prior to commencing work in Belgium Brussels.
4. Compliance: The supplier and the Robotics Engineer shall comply with all applicable Belgian labor laws, EU regulations, and local ordinances governing employment in Belgium Brussels. This includes adherence to the Belgian Code of Company and Commercial Law, the EU General Data Protection Regulation (GDPR), and all occupational health and safety standards.
5. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect accrued payment obligations.
6. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved by the competent courts of Belgium Brussels, or by arbitration under the rules of the Belgian Arbitration Institute, at the election of the Buyer.
7. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, war, pandemics, or government-imposed restrictions affecting operations in Belgium Brussels.
8. Warranty: The supplier warrants that the Robotics Engineer possesses all qualifications, certifications, and competencies represented in the candidate profile. Any misrepresentation shall entitle the Buyer to a full refund of fees paid for the affected period.

This Purchase Order is valid for acceptance within fourteen (14) calendar days from the date of issue. Acceptance shall be confirmed in writing by the Supplier. This document, together with the attached Statement of Work, constitutes the complete agreement between the parties regarding the procurement of the Robotics Engineer services in Belgium Brussels.
