This Purchase Order is issued by Instituto Nacional de Automação e Robótica (INAR) for the procurement of specialized professional services rendered by a qualified Robotics Engineer to be deployed and executed within the metropolitan region of Brazil Brasília. The Robotics Engineer shall be responsible for the design, development, integration, testing, and commissioning of autonomous robotic systems for the Federal Government's Smart Infrastructure Program, headquartered in Brasília, the capital of Brazil. All deliverables, on-site work, and project milestones shall be carried out at the INAR facility located in the Setor de Autarquias Sul district of Brasília – DF, unless otherwise directed in writing by the Buyer's project manager.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, specifically the Federal Public Procurement Law (Lei nº 14.133/2021) and applicable regulations of the Federal District (Distrito Federal) where Brasília is located.
- Payment Terms: Payment shall be made in monthly installments via electronic bank transfer (TED/PIX) to the account designated by the Vendor. Invoices must be submitted by the 5th business day of each month for services rendered in the preceding month. Payment shall be processed within 30 calendar days of invoice receipt and approval by the Buyer's finance department in Brasília.
- Commencement and Duration: The Robotics Engineer shall commence duties no later than 1 August 2025 at the INAR facility in Brasília – DF. The total contract duration, including the support period, shall not exceed 24 months from the commencement date.
- Qualifications: The Robotics Engineer assigned to this Purchase Order must hold a minimum of a Bachelor's degree in Mechanical Engineering, Electrical Engineering, or Mechatronics, with at least 8 years of documented experience in industrial robotics. A valid CREA (Conselho Federal de Engenharia e Agronomia) registration is mandatory for all professional activities performed in Brazil.
- Intellectual Property: All designs, code, documentation, and inventions created by the Robotics Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of INAR. The Vendor warrants that no third-party intellectual property rights are infringed.
- Confidentiality: The Robotics Engineer and the Vendor shall maintain strict confidentiality regarding all proprietary information, government data, and project details encountered during work in Brasília. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. All work completed and accepted prior to termination shall be compensated at the rates specified herein.
- Compliance: The Vendor and the Robotics Engineer shall comply with all applicable labor laws of Brazil, occupational health and safety regulations (NR-12 for machinery), and environmental standards in force in the Federal District of Brasília.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. Failing resolution within 30 days, the matter shall be submitted to the competent courts of Brasília – DF, Brazil.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the Robotics Engineer services to be performed in Brazil Brasília. This document constitutes a binding agreement upon execution by both authorized representatives.
