The Robotics Engineer engaged under this Purchase Order shall perform the following duties at the NovaTech facility in Canada Montreal:
- Conduct a comprehensive site assessment of the existing production floor to identify automation opportunities and determine optimal placement of robotic workcells.
- Design and program robotic end-effectors, grippers, and vision systems tailored to the specific product SKUs handled at the Canada Montreal plant.
- Integrate all robotic systems with the existing Manufacturing Execution System (MES) and Enterprise Resource Planning (ERP) infrastructure.
- Perform rigorous Functional Safety (ISO 10218-1 and ISO/TS 15066) testing and document all results for regulatory compliance in the Province of Quebec.
- Deliver a complete as-built documentation package, including P&IDs, electrical schematics, PLC ladder logic, and ROS2 node architecture diagrams.
- Provide a minimum of 120 days of post-commissioning remote technical support to address any integration issues or performance tuning requirements.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of Quebec and the federal laws of Canada applicable to the Province of Quebec, Canada Montreal jurisdiction.
- Payment Schedule: 30% upon execution of this Purchase Order, 40% upon successful commissioning of the first robotic workcell, and 30% upon final acceptance and delivery of all documentation. All payments shall be made via electronic funds transfer (EFT) to the account designated by the supplier.
- Confidentiality: The Robotics Engineer and the supplier shall execute a mutual Non-Disclosure Agreement (NDA) prior to commencing any work. S-2.1.1).
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, NovaTech shall pay for all services rendered up to the effective date of termination, plus a 10% administrative fee on the remaining contract value.
- Insurance: The supplier shall maintain Commercial General Liability insurance of no less than $5,000,000 CAD and Professional Liability (E&O) insurance of no less than $2,000,000 CAD for the duration of the engagement in Canada Montreal.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to binding arbitration administered by the ADR Institute of Canada, with the seat of arbitration in Canada Montreal, Quebec.
