The Robotics Engineer engaged under this Purchase Order shall perform the following core duties at the buyer's facility in Canada Toronto:
- Design and program robotic manipulators, collaborative robots (cobots), and automated guided vehicles (AGVs) for the buyer's manufacturing and logistics operations.
- Conduct feasibility studies, risk assessments, and safety analyses in compliance with Canadian national standards (CSA) and Ontario provincial regulations applicable to Canada Toronto industrial zones.
- Integrate robotic systems with existing PLC, SCADA, and ERP infrastructure at the Canada Toronto plant.
- Provide ongoing technical support, preventive maintenance planning, and performance optimization for all deployed robotic assets.
- Prepare detailed technical documentation, as-built drawings, and commissioning reports in accordance with the buyer's quality management system (ISO 9001:2015).
- Maintain full compliance with the Canada Labour Code, Ontario Employment Standards Act, and all applicable municipal bylaws governing industrial operations in Canada Toronto.
- Payment shall be made in monthly installments of CAD $15,863.33 (inclusive of HST), due within thirty (30) days of receipt of a valid invoice from the vendor.
- The initial mobilization payment of CAD $25,000.00 shall be due upon execution of this Purchase Order and confirmation of the Robotics Engineer's start date.
- All payments shall be made via electronic funds transfer (EFT) to the vendor's designated bank account in Canada Toronto.
- Late payments shall accrue interest at the rate of 1.5% per month, in accordance with the Ontario Interest Act.
- This Purchase Order is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto.
- The Robotics Engineer shall be considered an independent contractor of the vendor and shall not be deemed an employee of the buyer. The vendor assumes all responsibility for payroll, benefits, and statutory deductions.
- Both parties shall maintain strict confidentiality of all proprietary information, trade secrets, and intellectual property exchanged during the term of this Purchase Order.
- The vendor warrants that the Robotics Engineer possesses a minimum of eight (8) years of professional experience in industrial robotics, holds a valid Canadian professional engineering (P.Eng) designation or equivalent, and maintains all necessary insurance coverage for work performed in Canada Toronto.
- Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the buyer shall be liable for all services rendered up to the effective date of termination.
- All disputes arising from this Purchase Order shall be resolved through binding arbitration in Canada Toronto in accordance with the Arbitration Act (Ontario).
- The vendor shall indemnify and hold harmless the buyer against any claims, damages, or liabilities arising from the negligence or willful misconduct of the Robotics Engineer while performing services under this Purchase Order.
