1. SCOPE OF ENGAGEMENT – ROBOTICS ENGINEER SERVICESThis Purchase Order is issued by Northwest Robotics Solutions Inc. (hereinafter referred to as the "Purchaser") to Apex Engineering Talent Group Ltd. - Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable in Canada Vancouver. Any disputes arising from this Purchase Order shall be resolved through arbitration in Vancouver, British Columbia, in accordance with the BC Arbitration Act.
- Qualification of the Robotics Engineer: The Vendor warrants that the Robotics Engineer assigned under this Purchase Order shall hold a minimum of a Bachelor's degree in Mechanical Engineering, Electrical Engineering, or a related discipline from an accredited Canadian or internationally recognized institution, and shall possess a minimum of eight (8) years of progressive experience in industrial robotics, autonomous systems, or mechatronics. The Robotics Engineer must be legally authorized to work in Canada and shall maintain all necessary professional certifications valid in the Province of British Columbia.
- Work Location and Compliance: All services under this Purchase Order shall be rendered at the Purchaser's facility in Canada Vancouver. The Robotics Engineer shall comply with all applicable occupational health and safety regulations as set forth by WorkSafeBC, as well as all municipal bylaws and zoning regulations applicable to the Canada Vancouver work site.
- Intellectual Property: All work product, designs, code, documentation, and inventions created by the Robotics Engineer in the course of performing services under this Purchase Order shall be the sole and exclusive property of Northwest Robotics Solutions Inc. The Vendor and the Robotics Engineer hereby assign all intellectual property rights to the Purchaser upon creation.
- Confidentiality: The Vendor and the Robotics Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data of the Purchaser. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. All payments shall be made in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the Vendor's designated bank account in Canada Vancouver.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Purchaser shall pay for all services rendered up to the effective date of termination.
- Insurance: The Vendor shall maintain comprehensive general liability insurance with a minimum coverage of $5,000,000 CAD, professional liability (errors and omissions) insurance of $2,000,000 CAD, and workers' compensation coverage as required by the Province of British Columbia for the Robotics Engineer performing services in Canada Vancouver.
- Performance Standards: The Robotics Engineer shall adhere to the project milestones and deliverables outlined in the attached Statement of Work (Appendix A). Failure to meet agreed-upon performance benchmarks for two consecutive evaluation periods shall constitute grounds for termination of this Purchase Order.
- Subcontracting: The Vendor shall not subcontract any portion of the Robotics Engineer services without prior written consent from the Purchaser. Any approved subcontracting must comply with all applicable Canadian labor and immigration regulations.
