1. Description of Purchase Order ScopeThis Purchase Order is issued by Beijing Advanced Automation Technologies Co., Ltd. (hereinafter referred to as the "Buyer") to procure the professional services of a qualified Robotics Engineer for deployment and integration within the Buyer's manufacturing and research facilities located in China Beijing. This Purchase Order governs the engagement, compensation, deliverables, and operational parameters of the Robotics Engineer position as specified herein. The services described in this Purchase Order are intended to support the Buyer's ongoing automation expansion program in the Haidian District industrial zone of China Beijing, where the Buyer operates three (3) active production lines requiring advanced robotic system design, programming, calibration, and maintenance oversight.

- Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the Supplier. The Supplier must confirm acceptance of this Purchase Order within five (5) business days of receipt. Failure to respond within this period shall constitute automatic rejection of this Purchase Order.
- Qualification of Robotics Engineer: The Robotics Engineer assigned to fulfill the obligations under this Purchase Order must hold a minimum of a Master's degree in Robotics, Mechatronics, or a closely related engineering discipline, possess no fewer than eight (8) years of demonstrated experience in industrial robotics, and hold valid professional certification recognized by the China Engineering Society. The Robotics Engineer must be legally authorized to work in China Beijing and must comply with all applicable Chinese labor regulations and foreign professional employment permit requirements.
- Place of Performance: All services described in this Purchase Order shall be performed at the Buyer's premises located in China Beijing, Haidian District, unless otherwise agreed in writing. The Robotics Engineer shall be required to be physically present at the China Beijing facility for a minimum of five (5) days per week during the active deployment phase.
- Payment Terms: Payment shall be made in three (3) installments: 40% upon execution of this Purchase Order, 40% upon successful completion and acceptance of the deployment and commissioning phase, and 20% upon final acceptance of all deliverables and completion of the training program. All payments shall be made via bank transfer to the account designated by the Supplier in accordance with Chinese foreign exchange regulations applicable in China Beijing.
- Intellectual Property: All proprietary designs, code, configurations, and technical documentation developed by the Robotics Engineer specifically for the Buyer's China Beijing facility under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Supplier retains ownership of pre-existing intellectual property and general methodologies.
- Confidentiality: The Robotics Engineer and the Supplier shall maintain strict confidentiality regarding all proprietary information, trade secrets, and operational data of the Buyer encountered during the performance of this Purchase Order in China Beijing. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Compliance with Chinese Law: The Supplier and the Robotics Engineer shall comply with all applicable laws, regulations, and standards of the People's Republic of China, including but not limited to the Labor Law of the PRC, the Foreign Investment Law, and all local regulations governing professional services in China Beijing. All safety standards for robotic equipment operation shall conform to GB/T 15706 and ISO 10218 as adopted in China.
- Warranty and Liability: The Supplier warrants that the Robotics Engineer shall perform all services in a professional and workmanlike manner. The Supplier shall be liable for any damages resulting from negligence, gross misconduct, or failure to meet the specifications outlined in this Purchase Order. The total liability under this Purchase Order shall not exceed the Grand Total amount stated herein.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination. The Supplier shall ensure a smooth transition of all ongoing work related to the Robotics Engineer's responsibilities in China Beijing.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in Beijing, China Beijing. The language of arbitration shall be English.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, epidemics, or regulatory changes affecting operations in China Beijing.
