This Purchase Order authorizes the procurement of a qualified Robotics Engineer to be stationed at the Shanghai Advanced Manufacturing Group facility located in the Pudong New Area, China Shanghai. The Robotics Engineer shall be responsible for the design, programming, commissioning, and ongoing maintenance of all industrial robotic cells within the facility. The Robotics Engineer shall report directly to the Director of Industrial Automation and shall adhere to all operational protocols, safety standards, and quality management systems in effect at the China Shanghai site.
The Robotics Engineer shall work a standard schedule of forty (40) hours per week, Monday through Friday, with availability for emergency call-outs during critical production windows. All work performed by the Robotics Engineer shall comply with the applicable regulations of the Ministry of Human Resources and Social Security of the People's Republic of China, as well as local Shanghai municipal labor ordinances.
- Acceptance: This Purchase Order shall become binding upon written acceptance by the Supplier within five (5) business days of the date of issue. Failure to respond within this period shall constitute a void Purchase Order.
- Payment: Payment shall be made in Chinese Yuan (CNY) via bank transfer to the account designated by the Supplier. Invoices shall be submitted monthly, and payment shall be rendered within thirty (30) days of invoice receipt. Late payments shall accrue interest at 0.05% per day as stipulated under Chinese commercial law.
- Confidentiality: The Robotics Engineer shall execute a Non-Disclosure Agreement (NDA) prior to commencing work at the China Shanghai facility. All proprietary designs, process parameters, and intellectual property developed during the engagement shall remain the exclusive property of Shanghai Advanced Manufacturing Group Co., Ltd.
- Compliance: The Supplier warrants that the Robotics Engineer shall hold all necessary work permits, visas, and professional certifications required to legally perform engineering services in China Shanghai. The Supplier shall bear full responsibility for any regulatory non-compliance arising from the Robotics Engineer's employment status.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Supplier shall ensure an orderly transition of all Robotics Engineer responsibilities and deliverables to a successor or to the internal team at the China Shanghai facility.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising hereunder shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC) in China Shanghai.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in China Shanghai.
