- Scope of Work: The Robotics Engineer shall perform all duties exclusively at the KIADC facility in DR Congo Kinshasa unless otherwise authorized in writing by the Purchasing Entity. All deliverables must comply with the technical specifications outlined in Annex A attached to this Purchase Order.
- Timeline: The Robotics Engineer shall commence work within 10 business days of the effective date of this Purchase Order. Full system deployment and commissioning must be completed no later than 120 calendar days from the start date. The 12-month support period shall begin upon successful commissioning sign-off.
- Payment Terms: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 50% upon successful commissioning and acceptance of the robotic systems in DR Congo Kinshasa, and 20% upon completion of the 12-month support period. All payments shall be processed via bank transfer to the account designated by the Robotics Engineer.
- Compliance and Licensing: The Robotics Engineer warrants that he holds all necessary professional licenses, certifications, and work permits valid in the Democratic Republic of the Congo. The Robotics Engineer shall adhere to all local labor regulations, safety standards, and environmental codes applicable in DR Congo Kinshasa.
- Intellectual Property: All proprietary designs, code, and documentation created specifically for KIADC under this Purchase Order shall remain the exclusive property of the Purchasing Entity. The Robotics Engineer retains ownership of pre-existing methodologies and general engineering knowledge.
- Confidentiality: The Robotics Engineer agrees to maintain strict confidentiality regarding all operational data, trade secrets, and facility information encountered during the engagement in DR Congo Kinshasa. This obligation survives termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination for convenience, the Robotics Engineer shall be compensated for all work completed and materials procured up to the termination date.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Kinshasa, DR Congo, in accordance with the commercial laws of the Democratic Republic of the Congo. If mediation fails, disputes shall be submitted to the competent commercial court in Kinshasa.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Democratic Republic of the Congo, with specific reference to commercial and labor statutes applicable in DR Congo Kinshasa.
