This Purchase Order is issued by Alexandria Industrial Automation Co. (hereinafter referred to as the "Purchasing Party") to Nile Robotics & Advanced Systems Ltd. (hereinafter referred to as the "Service Provider") for the engagement of a qualified Robotics Engineer to provide specialized technical services at the Purchasing Party's manufacturing and research facility located in Egypt Alexandria. The scope of work encompasses the design, integration, programming, and maintenance of industrial robotic systems, automated assembly lines, and collaborative robot (cobot) workstations within the facility premises.
The Robotics Engineer shall be responsible for the following deliverables and activities:

- Place of Performance: All services under this Purchase Order shall be performed at the Purchasing Party's facility located at 42 Corniche El-Nil Street, Smouha District, Egypt Alexandria, Arab Republic of Egypt, or at such other location within Egypt Alexandria as mutually agreed in writing by both parties.
- Qualification Requirements: The Robotics Engineer assigned to this Purchase Order must hold a minimum of a Bachelor's degree in Mechatronics, Mechanical Engineering, or Electrical Engineering with a specialization in robotics, and a minimum of five (5) years of progressive experience in industrial robotics. The Service Provider shall submit the candidate's curriculum vitae, professional certifications, and references for approval prior to commencement of work.
- Payment Terms: Payment shall be made in Egyptian Pounds (EGP) via bank transfer to the Service Provider's designated account. Invoices are payable within thirty (30) calendar days of receipt of a valid invoice. A 10% advance payment shall be released upon execution of this Purchase Order. Milestone payments shall be issued upon written acceptance of each deliverable by the Purchasing Party's technical oversight committee.
- Intellectual Property: All designs, code, documentation, and proprietary knowledge developed specifically for the Purchasing Party under this Purchase Order shall become the sole property of Alexandria Industrial Automation Co. upon full payment. The Robotics Engineer and the Service Provider shall execute a non-disclosure agreement (NDA) prior to accessing any confidential operational data.
- Compliance and Safety: The Robotics Engineer shall adhere to all applicable Egyptian labor laws, occupational health and safety regulations, and the Egyptian Environmental Affairs Agency (EEAA) guidelines. All robotic systems installed in Egypt Alexandria shall comply with the Egyptian Organization for Standardization and Quality (EOS) requirements and CE marking where applicable.
- Warranty: The Service Provider warrants that all work performed by the Robotics Engineer shall be free from defects in design, programming, and integration for a period of twelve (12) months from the date of final acceptance. Any defects discovered within this warranty period shall be rectified at no additional cost to the Purchasing Party.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Purchasing Party shall compensate the Service Provider for all work completed and materials procured up to the date of termination. Termination for cause (material breach, failure to meet performance benchmarks) may be effected with seven (7) days' written notice.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from or in connection with this Purchase Order shall be resolved through amicable negotiation, failing which they shall be submitted to the competent courts of Egypt Alexandria.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting the Egypt Alexandria region.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, production processes, and business information exchanged in the course of executing this Purchase Order. This obligation shall survive the termination or expiration of this Purchase Order for a period of three (3) years.
By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions set forth in this Purchase Order for the engagement of the Robotics Engineer in Egypt Alexandria.
