This Purchase Order is issued to formally engage a qualified Robotics Engineer to provide specialized technical services for the Addis Ababa Smart Manufacturing Initiative. The Robotics Engineer shall be responsible for the design, prototyping, integration, and commissioning of automated robotic systems intended for deployment across three (3) pilot manufacturing facilities located within the Ethiopia Addis Ababa industrial corridor.

The engagement of this Robotics Engineer is critical to the strategic objective of modernizing Ethiopia's manufacturing sector. The Robotics Engineer will work directly with local technicians and engineers in Ethiopia Addis Ababa to ensure knowledge transfer, capacity building, and sustainable operation of the robotic systems post-deployment.

• Advance Payment (20%): ETB 1,461,000 – payable within 15 business days of acceptance of this Purchase Order, subject to provision of a bank guarantee from a licensed Ethiopian financial institution.
• Milestone Payment 1 (25%): ETB 1,826,250 – payable upon successful completion and sign-off of the system architecture design and CAD deliverables.
• Milestone Payment 2 (30%): ETB 2,191,500 – payable upon successful commissioning and acceptance testing of all robotic systems at the three Ethiopia Addis Ababa pilot sites.
• Milestone Payment 3 (15%): ETB 1,095,750 – payable upon completion of the training program and delivery of all documentation.
• Final Payment (10%): ETB 730,500 – payable at the conclusion of the 12-month post-deployment support period, subject to satisfactory performance review.

All payments shall be made in Ethiopian Birr (ETB) via bank transfer to the account designated by the Supplier. The Purchase Order is subject to the prevailing tax regulations of the Federal Democratic Republic of Ethiopia, including applicable Value Added Tax (VAT) at the rate of 15%.

• This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon countersignature by both parties.
• The Robotics Engineer engaged under this order must hold a minimum of a Master's degree in Robotics, Mechatronics, or a closely related engineering discipline, with no fewer than seven (7) years of demonstrated professional experience in industrial robotics.
• All work shall be performed in compliance with the Ethiopian Labour Proclamation (No. 1156/2019) and applicable occupational health and safety regulations in Ethiopia Addis Ababa.
• The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of ETB 10,000,000 for the duration of the engagement.
• Intellectual property developed specifically for the Buyer under this Purchase Order shall vest in the Addis Ababa Industrial Development Authority upon full payment.
• Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, subject to settlement of all outstanding obligations.
• Disputes arising from this Purchase Order shall be resolved through arbitration in Addis Ababa, Ethiopia, in accordance with the rules of the Ethiopian Arbitration and Conciliation Institute.
• The Robotics Engineer shall comply with all data protection and confidentiality obligations as stipulated in the Ethiopian Data Protection Proclamation (No. 1163/2020).
