- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from this Purchase Order relating to the engagement of the Robotics Engineer in France Lyon shall be subject to the exclusive jurisdiction of the Commercial Court of Lyon (Tribunal de Commerce de Lyon).
- Commencement and Duration: The Robotics Engineer shall commence duties no later than 1 July 2025 at the buyer's facility in France Lyon. The total engagement period, as detailed in the line items above, shall not exceed twenty-four (24) months from the commencement date.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made by bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed by Article L441-10 of the French Commercial Code.
- Intellectual Property: All work product, designs, code, algorithms, and documentation created by the Robotics Engineer in the course of fulfilling this Purchase Order shall be the sole and exclusive property of the buyer. The Robotics Engineer hereby assigns all intellectual property rights arising from the engagement to Rhône-Alpes Industrial Automation S.A.S.
- Confidentiality: The Robotics Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data encountered during the engagement in France Lyon. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Health, Safety, and Compliance: The Robotics Engineer shall comply with all applicable French occupational health and safety regulations (Code du Travail), EU Machinery Directive 2006/42/EC, and site-specific safety protocols at the France Lyon facility. The supplier shall ensure the Robotics Engineer holds all necessary professional certifications and insurance coverage.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the buyer shall pay for all services rendered up to the effective date of termination.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in France Lyon.
- Subcontracting: The supplier shall not subcontract any portion of the Robotics Engineer's duties without prior written consent from the buyer. Any approved subcontractor shall be bound by the same terms as this Purchase Order.
- Amendments: Any modification to this Purchase Order, including changes to scope, timeline, or compensation for the Robotics Engineer engagement in France Lyon, must be documented in a written amendment signed by both parties.
