This Purchase Order is issued by TechNova Solutions Ltd. to procure the professional services of a qualified Robotics Engineer to be deployed at our primary facility in Ghana Accra. All services shall be rendered in accordance with the specifications outlined in this Purchase Order and the attached Statement of Work (SOW-2025-112).

1. Scope and Deliverables: The Robotics Engineer engaged under this Purchase Order shall deliver a fully functional automated assembly line system at the TechNova Solutions facility in Ghana Accra. All deliverables must comply with Ghanaian industrial safety standards (GSA) and international robotics engineering best practices (ISO 10218).
2. Qualifications: The Robotics Engineer must hold a minimum of a Master's degree in Robotics, Mechatronics, or a related engineering discipline, with no fewer than eight (8) years of demonstrated experience in industrial automation and robotic system design. A valid professional engineering license recognized by the Engineering Council of Ghana is mandatory.
3. Site Access and Location: All on-site work shall be conducted at the TechNova Solutions premises located in Ghana Accra. The Robotics Engineer shall comply with all site safety protocols, access control procedures, and local labor regulations applicable in the Greater Accra Region.
4. Payment Schedule: Payment shall be made in four (4) equal installments of GHS 179,000.00 each, due upon completion of each project phase as defined in the Statement of Work. Invoices shall be submitted to the procurement department of TechNova Solutions Ltd. in Ghana Accra.
5. Intellectual Property: All designs, schematics, code, and documentation produced by the Robotics Engineer under this Purchase Order shall become the exclusive property of TechNova Solutions Ltd. upon full payment. The Robotics Engineer shall not reuse proprietary designs for competing entities within Ghana Accra or the wider Ghanaian market for a period of three (3) years.
6. Confidentiality: The Robotics Engineer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and operational data of TechNova Solutions Ltd. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience by the purchaser, the Robotics Engineer shall be compensated for all work completed up to the termination date.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from this Purchase Order shall be resolved through arbitration in Ghana Accra in accordance with the Arbitration Act, 2099 (Act 599).
9. Insurance and Liability: The Robotics Engineer shall maintain comprehensive professional indemnity insurance with a minimum coverage of GHS 2,000,000.00 throughout the duration of this Purchase Order. The Robotics Engineer shall be liable for any damages to equipment or property at the Ghana Accra facility resulting from negligence or non-compliance with safety standards.
10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting Ghana Accra or the broader region.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Robotics Engineer at the Ghana Accra facility. This Purchase Order constitutes a binding agreement upon execution by both authorized representatives.
