This Purchase Order is issued by TechNova Solutions Pvt. Ltd., headquartered in India Bangalore, for the procurement of specialized professional services in the form of a full-time Robotics Engineer engagement. The Robotics Engineer shall be deployed at our primary research and development facility located in Whitefield, India Bangalore, and shall be responsible for the design, development, testing, and deployment of autonomous robotic systems, industrial automation solutions, and embedded control software for our manufacturing and logistics divisions.

The scope of work for the Robotics Engineer includes but is not limited to: mechanical design of robotic arms and end-effectors; programming and integration of PLCs, microcontrollers, and real-time operating systems; development of computer vision modules for object recognition and path planning; collaboration with the electrical engineering team for sensor fusion and actuator calibration; and documentation of all technical specifications and maintenance protocols. The Robotics Engineer is expected to work a standard 48-hour week, Monday through Friday, at the India Bangalore premises, with occasional on-site visits to client facilities within the Karnataka region as directed by the project manager.

The Robotics Engineer shall report for duty at the TechNova Solutions facility in India Bangalore no later than 01 July 2025. All software licenses and hardware development kits shall be delivered to the India Bangalore site within five (5) business days of the acceptance of this Purchase Order. The vendor shall ensure that the Robotics Engineer possesses all requisite certifications, including but not limited to a B.Tech/M.Tech in Mechanical, Electrical, or Mechatronics Engineering, and a minimum of five years of hands-on experience in industrial robotics or autonomous systems.

Payment shall be made via NEFT/RTGS to the vendor's designated bank account in India Bangalore. The monthly retainer for the Robotics Engineer shall be payable within fifteen (15) days of the end of each calendar month, subject to satisfactory performance review. The one-time charges (items 2, 3, 4, and 5) shall be payable within thirty (30) days of the invoice date. A 2% late payment penalty shall apply for any overdue amounts. All payments are subject to the terms stipulated in this Purchase Order and the master service agreement on file.

This Purchase Order is governed by the laws of the Republic of India, and any disputes shall be subject to the exclusive jurisdiction of the courts in India Bangalore.
The Robotics Engineer shall be bound by a Non-Disclosure Agreement (NDA) and Intellectual Property Assignment Agreement, ensuring that all designs, code, and innovations developed during the engagement remain the sole property of TechNova Solutions Pvt. Ltd.
The vendor shall maintain a replacement Robotics Engineer of equivalent or superior qualification within fourteen (14) days in the event of resignation, termination, or medical unavailability.
TechNova Solutions reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of sustained underperformance by the Robotics Engineer, as determined by the project manager.
All work performed by the Robotics Engineer shall comply with the Bureau of Indian Standards (BIS) and applicable safety regulations for robotic systems operating in India Bangalore industrial zones.
The vendor shall provide a detailed monthly progress report to the procurement department, outlining milestones achieved, challenges encountered, and the roadmap for the subsequent month.
This Purchase Order does not constitute an employment contract. The Robotics Engineer shall be engaged on a contractual basis through the vendor, Apex Robotics Talent Services LLP.
Force majeure events, including but not limited to natural disasters, government-mandated lockdowns in India Bangalore, or pandemics, shall exempt both parties from performance obligations for the duration of such events.

By signing below, both parties acknowledge and agree to all terms, conditions, and financial obligations outlined in this Purchase Order for the engagement of a Robotics Engineer at the India Bangalore facility.
