This Purchase Order is issued by Meridian Automation Technologies Pvt. Ltd. (hereinafter referred to as the "Purchaser") to Apex Robotics Solutions LLP (hereinafter referred to as the "Supplier") for the engagement of a qualified Robotics Engineer to provide specialized technical services in the design, development, testing, and deployment of industrial robotic systems. The services under this Purchase Order shall be performed at the Purchaser's primary facility located in India New Delhi, specifically at the manufacturing and R&D campus in Noida Extension, New Delhi.

The Robotics Engineer engaged under this Purchase Order shall be responsible for the following scope of work:

• Design and architectural planning of multi-axis robotic arms for automated assembly lines at the Purchaser's India New Delhi manufacturing plant.
• Programming, calibration, and integration of robotic controllers (including but not limited to FANUC, ABB, and KUKA systems) for precision manufacturing tasks.
• Development of end-effectors, grippers, and tooling interfaces tailored to the specific production requirements of the Purchaser's electronics and automotive component divisions.
• Conducting feasibility studies, risk assessments, and safety compliance audits in accordance with the Bureau of Indian Standards (BIS) and the Factory Laws applicable in India New Delhi.
• Providing on-site technical supervision, training, and knowledge transfer to the Purchaser's in-house engineering team stationed in India New Delhi.
• Preparing comprehensive technical documentation, including system schematics, programming source code, maintenance manuals, and performance benchmark reports.
• Coordinating with third-party vendors for the procurement of robotic components, sensors, actuators, and peripheral hardware as specified in the attached Bill of Materials (Schedule A).

The Robotics Engineer assigned to fulfill the obligations under this Purchase Order must meet the following minimum qualifications:

• A Master's degree (M.Tech / M.S.) in Robotics, Mechatronics, Mechanical Engineering, or Electrical and Electronics Engineering from a recognized institution in India or an internationally accredited university.
• A minimum of seven (7) years of progressive professional experience in industrial robotics, with at least three (3) years in a senior or lead engineering capacity.
• Demonstrated expertise in ROS (Robot Operating System), PLC programming, CAD/CAM software (SolidWorks, CATIA, or equivalent), and real-time control systems.
• Valid professional registration with the Institution of Engineers (India) or equivalent professional body operating in India New Delhi.
• Proven track record of delivering robotic automation projects in the Indian manufacturing sector, with at least two (2) completed projects in the National Capital Region (NCR) of India New Delhi.
• Fluency in English (written and spoken) and Hindi for effective communication with the Purchaser's operations team in India New Delhi.

Payment Terms: Payment shall be made in three equal installments of 33.33% each, due within thirty (30) days of the Purchaser's written acceptance of the deliverables for each phase. All payments shall be processed via NEFT/RTGS to the Supplier's designated bank account in India New Delhi. The Purchaser reserves the right to withhold payment for any phase where the Robotics Engineer fails to meet the agreed-upon performance milestones.

1. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising out of or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in India New Delhi.
2. Confidentiality: The Robotics Engineer and the Supplier shall maintain strict confidentiality regarding all proprietary information, trade secrets, manufacturing processes, and technical data of the Purchaser. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
3. Intellectual Property: All work product, designs, source code, documentation, and inventions created by the Robotics Engineer in the course of performing services under this Purchase Order shall be the sole and exclusive property of the Purchaser. The Supplier and the Robotics Engineer hereby assign all intellectual property rights to the Purchaser upon full payment.
4. Compliance with Local Regulations: The Supplier and the Robotics Engineer shall comply with all applicable laws, regulations, and bylaws of the Government of India, the Government of the National Capital Territory of Delhi, and the local municipal authorities in India New Delhi, including but not limited to labor laws, environmental regulations, and industrial safety standards.
5. Insurance: The Supplier shall maintain comprehensive professional indemnity insurance and workers' compensation coverage for the Robotics Engineer throughout the duration of this Purchase Order, with a minimum coverage of INR 50,00,000 (Fifty Lakh Rupees).
6. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Purchaser shall pay for all services satisfactorily rendered up to the date of termination.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, pandemics, or civil unrest affecting India New Delhi.
8. Anti-Corruption: The Supplier warrants that no part of the consideration under this Purchase Order shall be used to offer, pay, or promise any improper benefit to any government official or employee in India New Delhi or elsewhere, in compliance with the Prevention of Corruption Act, 1988.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This Purchase Order constitutes a binding agreement between the Purchaser and the Supplier for the engagement of the Robotics Engineer for the services described herein, to be performed at the Purchaser's facility in India New Delhi.
