This Purchase Order is issued by NexaTech Industrial Solutions Ltd. for the engagement of a senior Robotics Engineer to provide specialized design, development, integration, and maintenance services for our automated manufacturing line located in our primary facility in Israel Tel Aviv. The Robotics Engineer shall be responsible for the end-to-end delivery of a multi-axis robotic assembly system, including mechanical design, control programming (PLC and ROS-based), sensor calibration, end-effector integration, and full commissioning of the robotic cell. The scope of work encompasses all phases from initial feasibility analysis through to final acceptance testing and a twelve-month post-deployment support period.

The Robotics Engineer engaged under this Purchase Order shall deliver the following milestones:

• Milestone 1 (Week 4): Completion of the system design package, including 3D CAD models, kinematic simulation reports, and a detailed bill of materials for all robotic components. All design work shall comply with ISO 10218 and IEC 60204-1 standards applicable in Israel Tel Aviv industrial zones.
• Milestone 2 (Week 10): Delivery of fully tested control software, including PLC programs, ROS 2 packages, and HMI screens, validated in a simulated environment prior to on-site deployment.
• Milestone 3 (Week 13): On-site installation, mechanical integration, and commissioning of the robotic cell at the NexaTech facility in Israel Tel Aviv. The Robotics Engineer shall ensure the cell achieves a minimum cycle time of 4.2 seconds per unit with a defect rate below 0.5 percent.
• Milestone 4 (Week 14): Final acceptance testing, operator training, and handover of all documentation. The Robotics Engineer shall remain available for a 30-day warranty period following acceptance.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Israel Tel Aviv.
2. Payment Terms: Payment shall be made in four installments: 25 percent upon signing, 35 percent upon completion of Milestone 2, 30 percent upon successful acceptance testing, and 10 percent upon completion of the 12-month support period. All payments shall be made via bank transfer to the vendor's account in Israel Tel Aviv within 30 days of invoice receipt.
3. Confidentiality: The Robotics Engineer shall treat all proprietary information, trade secrets, and technical data of NexaTech Industrial Solutions Ltd. as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five years.

5. Insurance and Liability: The Robotics Engineer shall maintain professional liability insurance with a minimum coverage of ILS 2,000,000 and workers' compensation insurance for all personnel working on-site in Israel Tel Aviv.
6. Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination for convenience, NexaTech shall pay for all work completed up to the termination date. 7. Compliance: The Robotics Engineer shall comply with all applicable Israeli labor laws, occupational health and safety regulations, and environmental standards in force in Israel Tel Aviv at the time of performance.

This Purchase Order constitutes a binding offer for the purchase of the Robotics Engineer services described herein. Acceptance of this Purchase Order by the vendor shall be deemed by the return of a signed copy within ten (10) business days of the date of issue. Failure to respond within this period shall be interpreted as a declination of the offer.
