3. Scope of Purchase Order

This Purchase Order is issued by TechNova Automation S.r.l. to formally procure the professional services of a qualified Robotics Engineer for the duration of the project period specified herein. The Robotics Engineer shall be engaged to design, develop, integrate, and commission industrial robotic systems for the automated manufacturing facility located in Italy Rome. All work, on-site activities, and project deliverables associated with this Purchase Order shall be executed at the buyer's premises in Italy Rome, specifically at the Via dell'Innovazione 42 industrial complex. The Robotics Engineer is expected to possess a minimum of eight (8) years of professional experience in industrial robotics, mechatronics, and automated control systems, with demonstrated competency in programming and deploying robotic arms, collaborative robots (cobots), and autonomous mobile robots (AMRs) within a manufacturing environment in Italy Rome.

5. Terms and Conditions

Acceptance: This Purchase Order shall become binding upon written acceptance by the vendor. The vendor must confirm acceptance of this Purchase Order within ten (10) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order null and void.
Commencement of Work: The Robotics Engineer shall commence all activities no later than 1 July 2025 at the designated facility in Italy Rome. Any delay in commencement must be communicated in writing to the buyer's procurement department at least five (5) business days in advance.
Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-ROME-0472) and shall be submitted to the buyer's accounts payable department in Italy Rome. Payment shall be processed via bank transfer to the vendor's designated Italian bank account.
Performance Standards: The Robotics Engineer shall adhere to all applicable Italian and European Union regulations governing industrial robotics, workplace safety (D.Lgs. 81/2008), and data protection (GDPR). All work performed in Italy Rome must comply with local labor laws and occupational health and safety standards.
Intellectual Property: All designs, code, documentation, and technical deliverables produced by the Robotics Engineer under this Purchase Order shall become the exclusive property of TechNova Automation S.r.l. upon full payment. The Robotics Engineer grants a perpetual, irrevocable license for the buyer's internal use of all project materials developed in Italy Rome.
Confidentiality: The Robotics Engineer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and operational data encountered during the course of work in Italy Rome. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the vendor shall be compensated for all work completed and documented up to the termination date. The Robotics Engineer shall ensure a smooth handover of all ongoing tasks to the buyer's internal team in Italy Rome.
Warranty: The Robotics Engineer warrants that all services rendered under this Purchase Order shall be performed in a professional and workmanlike manner. A warranty period of twelve (12) months shall apply to all robotic systems commissioned in Italy Rome, during which the Robotics Engineer shall correct any defects at no additional cost.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Rome, Italy.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in Italy Rome.
