- Payment Terms: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon successful commissioning of the robotic systems in Ivory Coast Abidjan, and 30% upon completion of the operator training and final acceptance. All payments shall be made via international wire transfer to the supplier's designated bank account.
- Commencement Date: The Robotics Engineer shall commence on-site work in Ivory Coast Abidjan no later than August 1, 2025. The supplier is responsible for arranging international travel, work permits, and all necessary visas for the Robotics Engineer to legally operate within the Republic of Côte d'Ivoire.
- Accommodation and Logistics: The buyer shall provide on-site accommodation, local transportation, and a dedicated workspace for the Robotics Engineer at the Abidjan facility for the duration of the on-site engagement. The buyer shall also provide a local mobile SIM card and internet access.
- Intellectual Property: All proprietary designs, code, and technical documentation developed by the Robotics Engineer specifically for this project in Ivory Coast Abidjan shall become the exclusive property of the buyer upon full payment. The supplier retains ownership of pre-existing tools, libraries, and methodologies.
- Compliance and Safety: The Robotics Engineer shall adhere to all applicable Ivorian labor laws, industrial safety regulations, and international robotics standards (ISO 10218, ISO 13482). The buyer shall ensure the facility in Ivory Coast Abidjan meets all prerequisites for robotic system installation.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, political instability, government-imposed restrictions, or pandemics affecting operations in Ivory Coast Abidjan or the supplier's home country.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be addressed through good-faith negotiation. If unresolved within 30 days, the matter shall be submitted to arbitration under the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Abidjan, Ivory Coast. The governing law shall be the laws of the Republic of Côte d'Ivoire.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, business strategies, and operational details exchanged during the execution of this Purchase Order. This obligation shall survive for a period of five (5) years following project completion.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall compensate the supplier for all work completed and non-cancellable expenses incurred up to the termination date.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Robotics Engineer to deliver specialized automation services at the buyer's facility in Ivory Coast Abidjan.
