This Purchase Order is issued by Kyoto Advanced Manufacturing Institute (KAMI) to RoboTech Global Solutions Ltd. for the professional engagement of a Robotics Engineer to be deployed and stationed in Japan Kyoto for the duration of the project outlined herein. The Robotics Engineer shall provide specialized expertise in the design, integration, calibration, and maintenance of industrial robotic systems within the KAMI research and production facilities located in Japan Kyoto.
The Robotics Engineer is expected to possess a minimum of eight (8) years of professional experience in robotic system architecture, including but not limited to collaborative robotics (cobot) deployment, autonomous mobile robot (AMR) programming, sensor fusion integration, and real-time control system development. The candidate must hold a Master's degree or higher in Robotics, Mechanical Engineering, Electrical Engineering, or a closely related discipline, and must demonstrate proficiency in ROS 2, Python, C++, MATLAB/Simulink, and relevant industrial PLC programming environments.

All services under this Purchase Order shall be performed exclusively at the KAMI facilities located in Japan Kyoto, specifically at the Higashiyama Research Campus (Building A, B, and C) and the adjacent Logistics Integration Center. The Robotics Engineer shall be physically present in Japan Kyoto for a minimum of five (5) working days per week throughout the engagement period. The Buyer shall provide the Robotics Engineer with a dedicated workstation, laboratory access, and all necessary safety equipment in accordance with Japanese occupational health and safety regulations (Labor Safety and Health Act, Act No. 57 of 1972).
The Supplier is responsible for arranging the Robotics Engineer's visa sponsorship (Engineer/Specialist in Humanities visa under Japan's Immigration Control Act), international travel to Japan Kyoto, and initial accommodation for the first thirty (30) days of deployment. Thereafter, the Buyer shall provide corporate housing in the Japan Kyoto metropolitan area at a standard not exceeding JPY 120,000 per month.
Payment for this Purchase Order shall be made in accordance with the following schedule:
- 30% Advance Payment: USD 106,170.00 – Due within fifteen (15) business days of Purchase Order acceptance and confirmed commencement of the Robotics Engineer's deployment in Japan Kyoto.
- 40% Milestone Payment: USD 141,560.00 – Due upon successful commissioning and acceptance of the robotic cell and AMR fleet integration, as certified by the KAMI Project Director in Japan Kyoto.
- 30% Final Payment: USD 106,170.00 – Due within thirty (30) days of the completion of all deliverables, knowledge transfer sessions, and the final technical report submitted to KAMI in Japan Kyoto.
All payments shall be made via wire transfer to the Supplier's designated bank account. Late payments shall accrue interest at a rate of 1.5% per month. All amounts are exclusive of applicable Japanese consumption tax (currently 10%), which shall be added to the final invoice.
- Intellectual Property: All designs, algorithms, code, documentation, and technical knowledge developed by the Robotics Engineer during the course of this Purchase Order while working in Japan Kyoto shall be the sole and exclusive property of KAMI. The Robotics Engineer shall execute a comprehensive IP assignment agreement prior to commencing work.
- Confidentiality: The Robotics Engineer shall be bound by a strict non-disclosure agreement covering all proprietary information, trade secrets, and research data encountered at the Japan Kyoto facilities. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance: The Robotics Engineer shall comply with all applicable Japanese laws and regulations, including the Personal Information Protection Act (Act No. 57 of 2003), the Product Liability Act, and all local ordinances applicable to Japan Kyoto.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Robotics Engineer shall complete all in-progress tasks and deliver a comprehensive handover document to KAMI in Japan Kyoto.
- Warranty: The Supplier warrants that the Robotics Engineer's services shall be performed in a professional and workmanlike manner. Any defects in the robotic systems designed or integrated under this Purchase Order shall be remedied at the Supplier's expense within ninety (90) days of identification.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes shall be resolved through arbitration in Japan Kyoto under the rules of the Japan Commercial Arbitration Association (JCAA).
This Purchase Order becomes effective upon written acceptance by both parties. The Supplier's acceptance constitutes a binding commitment to deliver the Robotics Engineer and all associated services as specified herein for the Japan Kyoto project.
