The scope of this Purchase Order encompasses the full professional services of the Robotics Engineer, including but not limited to the design, development, integration, testing, and maintenance of industrial robotic systems, autonomous mobile platforms, and collaborative robotic arms utilized in the Buyer's manufacturing facilities located in the Tokyo metropolitan region.

The Robotics Engineer engaged under this Purchase Order shall be responsible for overseeing the complete lifecycle of robotic automation projects, from initial feasibility studies and system architecture design through to commissioning, operator training, and ongoing technical support. All work shall be conducted primarily at the Buyer's principal facility in Shibuya-ku, Tokyo, with occasional travel to secondary sites within the Japan Tokyo metropolitan area, including locations in Ota-ku and Suginami-ku, as operationally required.

1. Payment Terms: All invoices under this Purchase Order shall be submitted on the last business day of each calendar month. Payment shall be made via bank transfer within thirty (30) days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month as stipulated under Japanese commercial law.
2. Performance Standards: The Robotics Engineer(s) engaged under this Purchase Order shall adhere to all applicable Japanese industrial standards, including JIS B 8433 (Safety Requirements for Industrial Robots), ISO 10218, and the Safety Standards for Robots and Related Equipment as enforced by the Japan Tokyo Metropolitan Government Bureau of Labor.
3. Confidentiality: The Seller and all Robotics Engineer personnel shall maintain strict confidentiality regarding the Buyer's proprietary manufacturing processes, product designs, and operational data. A separate Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of work in Japan Tokyo.
4. Intellectual Property: All designs, programs, algorithms, and technical documentation created by the Robotics Engineer specifically for the Buyer under this Purchase Order shall be the exclusive intellectual property of the Buyer upon full payment.
5. Work Location: All services shall be rendered at the Buyer's designated facilities within Japan Tokyo. The Seller shall ensure that all Robotics Engineer personnel hold valid work permits and comply with the Immigration Services Act of Japan.
6. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, termination may be effected with fourteen (14) days' notice. Upon termination, the Buyer shall pay for all services rendered up to the effective date of termination.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising hereunder shall be resolved through arbitration in Tokyo under the rules of the Japan Commercial Arbitration Association (JCAA).
8. Insurance: The Seller shall maintain comprehensive professional liability insurance and workers' compensation coverage for all Robotics Engineer personnel at a minimum coverage of JPY 100,000,000 per occurrence, valid throughout the term of this Purchase Order in Japan Tokyo.

By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work outlined in this Purchase Order for the engagement of Robotics Engineer services in Japan Tokyo.
