This Purchase Order is issued by Savanna Tech Solutions Ltd. to engage a qualified Robotics Engineer and associated technical support services for the design, integration, and commissioning of an automated assembly line at our manufacturing facility in Kenya Nairobi. The Robotics Engineer shall be responsible for all phases of the project as detailed below.

1. Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by Apex Robotics & Automation Services Ltd. within five (5) business days of the date of issue. Failure to respond within this period shall be deemed a declination of this Purchase Order.
2. Performance: The Robotics Engineer and all supporting personnel shall commence work no later than 1 July 2025 and shall complete all deliverables by 15 August 2025. Any delay beyond this date, not attributable to the client, shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10%.
3. Quality Standards: All work performed by the Robotics Engineer shall comply with ISO 10218 (Safety Requirements for Industrial Robots), IEC 60204-1 (Electrical Equipment of Machines), and all applicable regulations of the Kenya Bureau of Standards (KEBS) and the National Environment Management Authority (NEMA) in Kenya Nairobi.
4. Payment Schedule: Payment shall be made in three tranches: 30% upon signed acceptance of this Purchase Order, 50% upon successful commissioning and sign-off at the Kenya Nairobi facility, and 20% upon completion of the training programme and handover of all documentation.
5. Intellectual Property: All custom programming, system designs, and technical documentation created specifically for Savanna Tech Solutions Ltd. under this Purchase Order shall become the exclusive property of the client upon full payment. The Robotics Engineer retains the right to use general methodologies and pre-existing IP.
6. Insurance and Liability: The vendor shall maintain comprehensive public liability insurance of not less than KES 50,000,000 and professional indemnity insurance of not less than KES 20,000,000 for the duration of the project. The Robotics Engineer shall be personally liable for any damage to existing plant equipment caused by negligence during installation or commissioning.
7. Compliance with Kenyan Law: All services rendered under this Purchase Order shall comply with the Labour Act of Kenya (2007), the Occupational Safety and Health Act (2007), and all local by-laws applicable to industrial operations in Kenya Nairobi. The vendor shall ensure that the Robotics Engineer and all sub-contracted personnel hold valid work permits where applicable.
8. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within 30 days, the matter shall be referred to arbitration under the rules of the Chartered Institute of Arbitrators (Kenya Branch) in Kenya Nairobi. The prevailing language of the arbitration shall be English.
9. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or civil unrest affecting operations in Kenya Nairobi.
