1. Scope of Work: The Robotics Engineer engaged under this Purchase Order shall report directly to the Chief Technology Officer at the company's primary facility in Nepal Kathmandu. Duties include but are not limited to: designing kinematic and dynamic models for multi-axis robotic manipulators; programming and commissioning PLC-based control systems; leading a team of junior technicians in the assembly and calibration of robotic cells; and producing technical documentation in both English and Nepali for client handover.
2. Payment Terms: Payment shall be made in three equal installments of NPR 1,146,950 each, due on the 1st of August 2025, 1st of October 2025, and 1st of December 2025. All payments shall be processed via bank transfer to the supplier's account at NIC Asia Bank, Kathmandu Branch, Nepal. Late payments shall attract interest at the rate of 1.5% per month as per Nepal's prevailing commercial lending norms.
3. Delivery and Commencement: The Robotics Engineer must be fully onboarded, with all equipment and software licenses operational, no later than 01 August 2025 at the Nepal Kathmandu Technology Park office. The supplier shall bear all costs associated with relocation, initial accommodation (first 30 days), and local registration.
4. Quality and Performance Standards: The Robotics Engineer shall adhere to ISO 10218 (Safety Requirements for Industrial Robots) and IEC 60204-1 standards. Quarterly performance reviews shall be conducted by the buyer's engineering management team. Failure to meet agreed KPIs for two consecutive quarters shall constitute grounds for early termination of this Purchase Order with a 30-day written notice.
5. Confidentiality and Intellectual Property: All designs, code, schematics, and proprietary processes developed by the Robotics Engineer during the term of this engagement shall remain the exclusive intellectual property of Himalayan Advanced Robotics & Automation Pvt. Ltd. The engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work in Nepal Kathmandu.
6. Governing Law and Dispute Resolution: This Purchase Order shall be governed by the laws of the Kingdom of Nepal, specifically the Contract Act 2056 and the Labour Act 2074. Any disputes arising from this agreement shall first be attempted to be resolved through mediation in Kathmandu. If unresolved within 60 days, the matter shall be referred to the competent court of law in Kathmandu, Nepal.
7. Force Majeure: Neither party shall be liable for delays or non-performance caused by natural disasters (including earthquakes common to the Nepal region), government-imposed lockdowns, or other events beyond reasonable control, provided written notice is given within 72 hours of the event.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Robotics Engineer at the Nepal Kathmandu facility. This document constitutes a binding commercial agreement upon execution by both authorized signatories.
