This Purchase Order is issued by Amsterdam Robotics Solutions B.V. (hereinafter referred to as the "Buyer") to TechTalent International N.V. (hereinafter referred to as the "Supplier") for the provision of a qualified Robotics Engineer to be deployed at the Buyer's operational facility located in Netherlands Amsterdam. This document constitutes a binding agreement for the services described herein and shall be governed by the laws of the Kingdom of the Netherlands.

The Buyer requests the Supplier to provide a senior-level Robotics Engineer with a minimum of eight (8) years of professional experience in industrial automation, robotic arm programming, and mechatronic system design. The Robotics Engineer shall be physically present at the Buyer's manufacturing and R&D facility in Netherlands Amsterdam (address: Eerste Oosterdokstraat 112, 1011 DL Amsterdam) for the duration of the contract term specified below.

2.1 This Purchase Order shall remain valid for acceptance for a period of fourteen (14) calendar days from the date of issue. The Supplier must confirm acceptance in writing via email to [email protected] within this period.

2.2 The Robotics Engineer assigned to this contract must hold a valid Dutch work permit or be a national of an EU/EEA member state. The Supplier is responsible for all employment-related obligations, including but not limited to salary, social security contributions, and compliance with the Dutch Working Conditions Act (Arbeidsomstandighedenwet).

2.3 The Robotics Engineer shall comply with all health, safety, and environmental regulations applicable to industrial operations in Netherlands Amsterdam, including those enforced by the Netherlands Enterprise Agency (RVO) and the local municipality of Amsterdam.

2.4 The Supplier warrants that the Robotics Engineer shall not be engaged in any conflicting obligations with other clients during the contract term. Any breach of this exclusivity clause shall entitle the Buyer to terminate this Purchase Order immediately without penalty.

2.5 All intellectual property, designs, code, and documentation produced by the Robotics Engineer while performing services under this Purchase Order at the Netherlands Amsterdam facility shall be the sole property of the Buyer.

2.6 The Supplier shall maintain professional liability insurance with a minimum coverage of EUR 2,000,000 per occurrence, valid throughout the contract term. A certificate of insurance shall be provided prior to the commencement date.

3.1 Invoices shall be submitted monthly in arrears by the 5th business day of the following month. Payment shall be made via SEPA bank transfer to the Supplier's designated account within thirty (30) calendar days of receipt of a valid invoice.

3.2 The total contract value of EUR 289,069.00 (inclusive of 21% Dutch VAT) is fixed for the initial twelve-month term. Any extension or modification of scope shall require a written amendment to this Purchase Order signed by both parties.

3.3 Late payments shall incur interest at the statutory rate as defined in Article 6:119a of the Dutch Civil Code (Burgerlijk Wetboek).

4.1 The Robotics Engineer shall report to the Buyer's facility in Netherlands Amsterdam on 01 September 2025 at 08:30 CET for an onboarding session. The Supplier shall ensure the Robotics Engineer has completed all necessary background checks and holds a valid VCA (Veiligheid, Circulatie, Afval) certificate prior to site access.

4.2 Working hours shall be Monday through Friday, 08:30 to 17:30 CET, with a 30-minute unpaid lunch break, in accordance with standard Dutch employment practices.

5.1 Either party may terminate this Purchase Order with a written notice period of sixty (60) calendar days. In the event of material breach by the Supplier, the Buyer may terminate with immediate effect.

5.2 Upon termination, the Robotics Engineer shall return all company property, access credentials, and documentation to the Buyer's facility in Netherlands Amsterdam within five (5) business days.
