This Purchase Order is issued by Meridian Automation & Advanced Systems Ltd. to procure the professional services of a qualified Robotics Engineer to be deployed at our primary operational facility located in New Zealand Auckland. The engagement is structured as a fixed-term professional services contract for a period of twelve (12) months, commencing on 1 July 2025 and concluding on 30 June 2026, subject to mutual renewal terms as outlined in Section 7 of this document.

The Robotics Engineer shall be responsible for the design, development, testing, and commissioning of autonomous robotic systems for our advanced manufacturing and logistics operations in New Zealand Auckland. The role encompasses the integration of robotic arms, autonomous mobile robots (AMRs), sensor fusion systems, and industrial IoT platforms. The engineer will report directly to the Head of Engineering and will work within the multidisciplinary team based at our Auckland CBD headquarters.

The Robotics Engineer shall commence duties no later than 1 July 2025 at the Meridian Automation facility, Level 12, 100 Federal Street, Auckland CBD, New Zealand Auckland. A minimum of two (2) weeks' written notice is required for any change to the commencement date. The supplier is responsible for ensuring the Robotics Engineer holds a valid New Zealand work visa or residency status and meets all occupational health and safety requirements as mandated by WorkSafe New Zealand prior to on-site deployment.

• Payment shall be made on a monthly basis in arrears, with invoices due within thirty (30) days of receipt.
• All payments shall be processed via electronic funds transfer (EFT) to the supplier's nominated New Zealand bank account.
• A 2% late payment penalty shall apply to any invoice not settled within the stipulated 30-day period, in accordance with the New Zealand Late Payment of Debts Regulations 2002.
• Retainer of 5% of the total contract value shall be withheld until final project acceptance and sign-off by the Head of Engineering.
• All amounts are quoted in New Zealand Dollars (NZD) and are inclusive of applicable Goods and Services Tax (GST) at the current rate of 15%.

• This Purchase Order is governed by the laws of New Zealand and shall be subject to the jurisdiction of the courts of Auckland, New Zealand.
• The Robotics Engineer shall comply with all applicable New Zealand employment, health and safety, and intellectual property legislation, including the Health and Safety at Work Act 2015 and the Copyright Act 1994.
• All intellectual property, designs, code, and documentation produced by the Robotics Engineer during the term of this engagement shall be the sole property of Meridian Automation & Advanced Systems Ltd.
• The supplier warrants that the Robotics Engineer possesses a minimum of eight (8) years of professional experience in industrial robotics, mechatronics, and autonomous systems, and holds a relevant postgraduate qualification (MEng, MSc, or PhD) in Robotics, Mechanical Engineering, or a closely related discipline.
• Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, all work in progress shall be documented and handed over to the purchasing entity.
• The supplier shall maintain professional indemnity insurance of no less than NZD $10,000,000 and public liability insurance of no less than NZD $20,000,000 for the duration of the contract.
• Confidentiality obligations as set out in the separate Non-Disclosure Agreement (NDA-2025-0341) shall survive the termination of this Purchase Order for a period of five (5) years.
• Any disputes arising from this Purchase Order shall first be subject to mediation under the New Zealand Disputes Resolution Act 2010 before escalation to litigation.

This Purchase Order is issued and authorised by the undersigned on behalf of Meridian Automation & Advanced Systems Ltd. Acceptance of this order by the supplier constitutes full agreement to all terms, conditions, and specifications outlined herein. The engagement of the Robotics Engineer in New Zealand Auckland is contingent upon successful completion of all pre-employment checks, including reference verification, police clearance, and occupational health assessment.
