This Purchase Order is issued to formally engage the services of a qualified Robotics Engineer to provide specialized technical consultancy, system design, prototyping, and deployment support for an automated manufacturing and logistics facility located in Nigeria Abuja. The Robotics Engineer shall be responsible for the end-to-end development of robotic automation systems, including mechanical design, embedded systems programming, sensor integration, and commissioning of industrial robotic arms and autonomous mobile robots (AMRs) for the buyer's production line.

- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. All terms herein shall be governed by the laws of the Federal Republic of Nigeria.
- The Robotics Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Robotics, Mechatronics, or a closely related engineering discipline, with no fewer than eight (8) years of documented professional experience in industrial robotics deployment.
- All work, deliverables, and on-site activities shall be performed at the Buyer's designated facility in Nigeria Abuja, Federal Capital Territory, unless otherwise agreed in writing by both parties.
- Payment shall be made in three (3) milestones: 30% upon execution of this Purchase Order, 40% upon successful commissioning and acceptance of all robotic systems, and 30% upon completion of the training phase and handover of all technical documentation.
- The Supplier shall provide a comprehensive warranty of not less than twelve (12) months from the date of final acceptance for all hardware components and software modules delivered under this Purchase Order.
- Any changes to the scope of work, timeline, or deliverables must be documented in a formal Change Order signed by both parties. No verbal modifications to this Purchase Order shall be valid.
- The Robotics Engineer shall comply with all applicable Nigerian standards, including those set by the Standards Organisation of Nigeria (SON) and the National Information Technology Development Agency (NITDA), for all systems deployed in Nigeria Abuja.
- Confidentiality: All proprietary designs, source code, and operational data generated during the engagement shall remain the exclusive property of the Buyer. The Robotics Engineer and the Supplier agree to maintain strict confidentiality for a period of five (5) years following project completion.
- Dispute resolution: Any disputes arising from this Purchase Order shall first be addressed through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration in Nigeria Abuja in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.
- The Supplier shall maintain adequate professional indemnity and public liability insurance coverage for the duration of the project, with minimum coverage of NGN 50,000,000, naming the Buyer as an additional insured party.
The Robotics Engineer shall commence on-site work at the Nigeria Abuja facility no later than 14 July 2025. The overall project timeline, as outlined in the itemized schedule above, shall not exceed twenty-six (26) weeks from the commencement date. The Supplier shall submit a detailed project Gantt chart and resource allocation plan within seven (7) calendar days of this Purchase Order being signed.
6. Acceptance and SignaturesBy signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions set forth in this Purchase Order for the engagement of a Robotics Engineer to deliver specialized automation services in Nigeria Abuja.
