- This Purchase Order constitutes a binding agreement between Lagos Industrial Automation & Robotics Ltd. (hereinafter "the Buyer") and Apex Robotics & Engineering Solutions Ltd. (hereinafter "the Supplier") for the provision of Robotics Engineer services within the Nigeria Lagos metropolitan area and its immediate industrial zones.
- The Robotics Engineer assigned to this Purchase Order shall possess a minimum of a B.Sc. in Mechanical Engineering, Electrical Engineering, or a related discipline, with at least five (5) years of demonstrated experience in industrial robotics, mechatronics, and automated systems design. The Supplier shall provide a verified CV and professional references prior to commencement.
- All work related to this Purchase Order shall be performed primarily at the Buyer's facilities located in Nigeria Lagos, specifically at 14B Admiralty Way, Lekki Phase 1, and the Ikorodu Industrial Estate. The Robotics Engineer is expected to be physically present on-site a minimum of five (5) days per week during the engagement period.
- Payment shall be made in Nigerian Naira (NGN) within thirty (30) calendar days of receipt of a valid invoice from the Supplier. Late payments shall attract a penalty of 1.5% per month as stipulated under the Nigerian Companies and Allied Matters Act (CAMA) 2020.
- The Supplier warrants that the Robotics Engineer shall comply with all applicable Nigerian federal and Lagos State regulations, including but not limited to the Nigerian Engineering Council (COREN) practice standards, the Lagos State Building Control Law, and all occupational health and safety guidelines issued by the Federal Ministry of Labour and Employment.
- Intellectual property developed specifically for the Buyer under this Purchase Order, including but not limited to proprietary control algorithms, CAD designs, and firmware code created for the Nigeria Lagos deployment, shall vest exclusively in the Buyer upon full payment. The Supplier retains ownership of pre-existing tools, libraries, and methodologies.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination by the Buyer without cause, the Supplier shall be compensated for all services rendered up to the termination date. In the event of termination due to the Supplier's material breach, no further payment shall be due.
- All disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, LFN 2004). The seat of arbitration shall be Nigeria Lagos, and the proceedings shall be conducted in English.
- The Robotics Engineer shall be provided with reasonable access to the Buyer's facilities, equipment, and documentation necessary to perform the duties outlined in this Purchase Order. The Buyer shall ensure a safe working environment in compliance with Nigerian statutory requirements.
- This Purchase Order is governed by the laws of the Federal Republic of Nigeria. Any amendments or modifications to this Purchase Order must be made in writing and signed by authorised representatives of both parties.
