This Purchase Order is issued by Najd Advanced Automation & Robotics Solutions Co. Ltd. for the procurement of specialized professional services rendered by a qualified Robotics Engineer. The Robotics Engineer shall be deployed to the company's primary operational facility located in Saudi Arabia Riyadh to support the design, development, integration, and maintenance of industrial robotic systems, autonomous mobile robots, and advanced automation lines. The Robotics Engineer is expected to possess a minimum of eight (8) years of progressive experience in mechatronics, control systems programming (PLC, ROS, Python, C++), and industrial robot commissioning (ABB, KUKA, FANUC, Yaskawa). All work shall be performed in compliance with the Saudi Standards, Metrology and Quality Organization (SASO) regulations and the labor laws of the Kingdom of Saudi Arabia as applicable to the Saudi Arabia Riyadh jurisdiction.

- This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon acceptance. All services related to the Robotics Engineer engagement shall be performed exclusively at the Buyer's facility in Saudi Arabia Riyadh unless otherwise agreed in writing.
- The Robotics Engineer shall comply with all applicable Saudi Arabian labor regulations, including but not limited to the Saudi Labor Law, the Anti-Discrimination Law, and the requirements of the Ministry of Human Resources and Social Development (HRSD) for expatriate professional workers in Saudi Arabia Riyadh.
- Payment terms: Net 30 days from the date of invoice submission. Invoices shall be submitted monthly and shall reference this Purchase Order number (SA-RYD-2025-04782). Payment shall be made via bank transfer to the account designated by the Seller.
- The Robotics Engineer shall provide a detailed weekly progress report to the Buyer's project management office in Saudi Arabia Riyadh, outlining tasks completed, milestones achieved, and any risks or blockers encountered.
- All intellectual property, designs, code, and documentation produced by the Robotics Engineer during the term of this Purchase Order shall be the sole property of the Buyer. The Seller warrants that no third-party intellectual property rights shall be infringed.
- The Seller shall maintain comprehensive professional liability insurance with a minimum coverage of SAR 5,000,000 for the duration of the Robotics Engineer engagement in Saudi Arabia Riyadh.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Seller for all services rendered by the Robotics Engineer up to the effective date of termination.
- Disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the Saudi Center for Commercial Arbitration (SCCA) in Saudi Arabia Riyadh. The governing law shall be the laws of the Kingdom of Saudi Arabia.
- The Robotics Engineer shall adhere to all health, safety, and environmental (HSE) protocols established by the Buyer at the Saudi Arabia Riyadh site, including mandatory PPE usage and safety induction training prior to commencing work.
- This Purchase Order is subject to the Buyer's right to audit the Seller's records and the Robotics Engineer's deliverables at reasonable notice to ensure compliance with the agreed scope of work.
