This Purchase Order is issued by Sahel Advanced Technologies S.A. to procure the professional services of a qualified Robotics Engineer to be deployed and stationed in Senegal Dakar for a period of twelve (12) months. The Robotics Engineer shall be responsible for the design, development, testing, and commissioning of industrial automation systems for the buyer's manufacturing facility located in the Industrial Zone of Dakar, Senegal. The scope of work encompasses the integration of robotic arms, programmable logic controllers (PLCs), sensor arrays, and embedded control systems to optimize production throughput and reduce manual labor in the assembly line operations.

The Robotics Engineer shall commence on-site duties in Senegal Dakar no later than 1 August 2025. The initial mobilization phase, including visa acquisition, customs clearance of technical equipment, and facility familiarization, shall be completed within the first thirty (30) days of arrival. The Purchase Order stipulates that the Robotics Engineer shall submit a detailed project implementation plan within the first two weeks of deployment in Senegal Dakar, outlining milestones, deliverables, and resource requirements for the full twelve-month engagement.
5. TERMS AND CONDITIONS- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal, particularly the Senegalese Commercial Code and the Labour Code applicable to expatriate technical personnel stationed in Senegal Dakar.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment shall be made via bank transfer to the account designated by RoboCore Engineering Solutions Ltd. within thirty (30) days of receipt of a valid invoice. All payments under this Purchase Order shall be denominated in XOF.
- Work Authorization: The buyer shall be solely responsible for obtaining and renewing all necessary work permits, residence visas, and professional registration for the Robotics Engineer in Senegal Dakar in compliance with the Ministry of Labour and Employment regulations.
- Intellectual Property: All designs, code, documentation, and technical deliverables produced by the Robotics Engineer during the term of this Purchase Order while performing duties in Senegal Dakar shall be the exclusive property of Sahel Advanced Technologies S.A.
- Confidentiality: The Robotics Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and operational data of the buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the Robotics Engineer shall complete a full handover of all work-in-progress documentation and return all company property within fourteen (14) days of the effective termination date in Senegal Dakar.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, civil unrest, government sanctions, or pandemics affecting operations in Senegal Dakar.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Dakar Centre for Arbitration and Mediation (CDAM).
- Compliance: The Robotics Engineer shall comply with all applicable Senegalese laws, regulations, and local customs while performing duties in Senegal Dakar, including but not limited to occupational health and safety standards, environmental regulations, and tax obligations.
- Acceptance: This Purchase Order becomes binding upon signature by both parties. The supplier's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and specifications outlined herein for the provision of Robotics Engineer services in Senegal Dakar.
