This Purchase Order is issued by HanaTech Industrial Solutions Co., Ltd. (hereinafter referred to as the "Buyer") to RoboCore Engineering Partners LLC (hereinafter referred to as the "Supplier") for the procurement of specialized professional services rendered by a qualified Robotics Engineer. The Robotics Engineer shall be engaged to design, develop, integrate, and commission advanced robotic systems for the Buyer's manufacturing facility located in South Korea Seoul, specifically at the Gangnam-gu industrial complex. This Purchase Order governs all terms, conditions, deliverables, and obligations associated with the engagement of the Robotics Engineer for the duration of the project.

The Robotics Engineer engaged under this Purchase Order shall perform the following duties and deliverables within the operational boundaries of South Korea Seoul:

Total Purchase Order Value: KRW 102,200,000 (One Hundred Two Million Two Hundred Thousand Korean Won)

All physical work, on-site installations, and operational activities related to this Purchase Order shall be conducted at the Buyer's primary manufacturing facility situated in South Korea Seoul, Gangnam-gu district. The Robotics Engineer is expected to maintain a minimum on-site presence of five (5) business days per week during the active installation and commissioning phases. All travel, accommodation, and local transportation within South Korea Seoul shall be the responsibility of the Supplier unless otherwise stipulated in a written amendment to this Purchase Order. The Robotics Engineer shall comply with all local labor regulations, workplace safety standards, and municipal ordinances applicable in South Korea Seoul.

Payment under this Purchase Order shall be structured as follows:

1. 30% Advance Payment (KRW 30,660,000): Due within ten (10) business days of the Buyer's written acceptance of this Purchase Order and confirmation of the Robotics Engineer's availability and onboarding in South Korea Seoul.
2. 40% Milestone Payment (KRW 40,880,000): Payable upon successful completion and sign-off of the design, programming, and integration phases (Items 01 and 02) as verified by the Buyer's project management team.
3. 20% Commissioning Payment (KRW 20,440,000): Payable upon full commissioning, safety certification, and acceptance of all robotic systems at the South Korea Seoul facility (Item 03).
4. 10% Retention Payment (KRW 10,220,000): Payable upon successful completion of the 12-month support period and final acceptance of all deliverables, including the training sessions and AI modules.

All payments shall be made via bank transfer to the Supplier's designated account in Korean Won (KRW). Late payments shall incur interest at a rate of 1.5% per month as per South Korean commercial law.

The Robotics Engineer assigned to this Purchase Order must hold a minimum of a Master's degree in Robotics, Mechanical Engineering, or a closely related field, with no fewer than eight (8) years of demonstrated professional experience in industrial robotics. The Robotics Engineer must possess valid certifications in ROS 2, ISO 10218 (Safety Requirements for Industrial Robots), and relevant South Korean industrial safety standards. The Supplier warrants that the Robotics Engineer shall hold all necessary work permits and visa documentation to legally perform professional services in South Korea Seoul for the entire duration of this engagement.

All designs, code, algorithms, documentation, and proprietary knowledge developed by the Robotics Engineer specifically for the Buyer under this Purchase Order shall be the exclusive intellectual property of HanaTech Industrial Solutions Co., Ltd. The Robotics Engineer and the Supplier agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and operational data encountered during the course of work in South Korea Seoul. This confidentiality obligation shall survive the termination of this Purchase Order for a period of five (5) years.

Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of material breach by the other party. In the event of a dispute arising from or relating to this Purchase Order, the parties shall first attempt resolution through good-faith negotiation. Should negotiation fail, the dispute shall be submitted to binding arbitration under the rules of the Korea Commercial Arbitration Board (KCAB) in South Korea Seoul. The governing law for this Purchase Order shall be the laws of the Republic of Korea.

By signing below, both parties acknowledge and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Robotics Engineer in South Korea Seoul. This document constitutes a binding agreement upon execution by both authorized representatives.
