3. Scope of Purchase — Robotics Engineer Professional Services

This Purchase Order is issued by Helvetia Advanced Automation AG for the professional engagement of a qualified Robotics Engineer to be deployed at the buyer's operational facility located in Switzerland Zurich. The Robotics Engineer shall provide specialized technical services encompassing the design, development, integration, testing, and maintenance of industrial robotic systems, autonomous mobile robots, and collaborative robotic (cobot) platforms. All services under this Purchase Order shall be rendered in accordance with Swiss federal regulations, the Swiss Code of Obligations (OR), and applicable cantonal labor standards governing the canton of Switzerland Zurich.

5. Terms and Conditions

Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Swiss Confederation, with the seat of jurisdiction established in the canton of Switzerland Zurich. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Switzerland Zurich.
Service Delivery Location: All services rendered under this Purchase Order by the Robotics Engineer shall be performed at the buyer's premises located at Bahnhofstrasse 142, 8001 Switzerland Zurich, unless otherwise agreed in writing by both parties.
Qualification Requirements: The Robotics Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Robotics, Mechatronics, or a closely related engineering discipline, and a minimum of seven (7) years of professional experience in industrial robotics, autonomous systems, or collaborative robotics. The Robotics Engineer must demonstrate proficiency in ROS 2, C++, Python, MATLAB/Simulink, and at least two major industrial robot controller platforms.
Intellectual Property: All intellectual property, including but not limited to algorithms, control code, system architectures, and technical documentation developed by the Robotics Engineer in the course of fulfilling this Purchase Order, shall be the exclusive property of Helvetia Advanced Automation AG. The Robotics Engineer shall execute all necessary assignment documents as required.
Confidentiality: The Robotics Engineer shall be bound by a Non-Disclosure Agreement (NDA) in accordance with Swiss Federal Act on the Protection of Trade Secrets (LCS). All proprietary information pertaining to Helvetia Advanced Automation AG's operations in Switzerland Zurich shall remain strictly confidential for a period of five (5) years following the termination of this Purchase Order.
Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the Swiss National Bank (SNB) reference rate plus two percentage points.
Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Robotics Engineer shall complete all in-progress deliverables and hand over all work-in-progress documentation.
Compliance: The Robotics Engineer shall comply with all applicable Swiss occupational safety regulations (ArG), the Swiss Data Protection Act (DSG), and all environmental standards applicable in Switzerland Zurich. The supplier warrants that the Robotics Engineer holds all necessary work permits and residence authorizations valid for the canton of Switzerland Zurich.
Insurance: The supplier shall maintain comprehensive professional liability insurance with a minimum coverage of CHF 5,000,000 per occurrence, valid throughout the term of this Purchase Order. Certificates of insurance shall be provided upon request.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, war, or government-mandated shutdowns affecting operations in Switzerland Zurich.

6. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Robotics Engineer in Switzerland Zurich. This Purchase Order constitutes a binding contractual agreement effective from the date of the last signature.
