- This Purchase Order constitutes a binding agreement between Tanzania Industrial Automation & Robotics Ltd. (hereinafter "the Buyer") and East African Robotics Solutions Inc. (hereinafter "the Vendor") for the provision of Robotics Engineer professional services to be executed in Tanzania Dar es Salaam.
- The Robotics Engineer or team of engineers assigned under this Purchase Order must hold a minimum of a Master's degree in Robotics, Mechatronics, or a closely related engineering discipline, with a minimum of seven (7) years of demonstrable experience in industrial robotic system design and deployment.
- All services shall be performed at the Buyer's premises located in Tanzania Dar es Salaam, specifically at the Masaki Industrial Zone, Plot 47, Mbezi Beach Road. The Vendor shall be responsible for all travel, accommodation, and per diem expenses for the Robotics Engineer personnel while stationed in Tanzania Dar es Salaam.
- Payment shall be made in Tanzanian Shillings (TZS) on a monthly basis within thirty (30) days of receipt of a valid invoice and satisfactory progress report. The total contract value under this Purchase Order is TZS 133,900,000 (One Hundred and Thirty-Three Million Nine Hundred Thousand Tanzanian Shillings) inclusive of all applicable taxes.
- The Vendor shall ensure that the Robotics Engineer personnel comply with all Tanzanian labour laws, immigration regulations, and work permit requirements applicable to foreign professionals operating in Tanzania Dar es Salaam. All necessary work permits and visas shall be obtained prior to the commencement date of 01 July 2025.
- Intellectual property developed specifically for the Buyer under this Purchase Order shall vest in the Buyer upon full payment. The Robotics Engineer shall provide full source code, design files, and documentation as part of the final deliverables.
- The Vendor shall maintain professional indemnity insurance with a minimum cover of TZS 500,000,000 for the duration of the contract, valid in Tanzania Dar es Salaam.
- Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date by the Robotics Engineer team.
- All disputes arising from this Purchase Order shall be resolved through arbitration in Tanzania Dar es Salaam in accordance with the Arbitration Act of the United Republic of Tanzania.
- This Purchase Order is governed by the laws of the United Republic of Tanzania. The Robotics Engineer services shall be delivered in full compliance with Tanzanian industrial safety standards and the Tanzania Bureau of Standards (TBS) regulations.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of Robotics Engineer services in Tanzania Dar es Salaam.
