This Purchase Order is issued by Meridian Industrial Automation Solutions Ltd. to procure the professional services of a qualified Robotics Engineer for a twelve-month engagement. The Robotics Engineer shall be physically stationed and perform all duties at our primary manufacturing and R&D facility located in Turkey Istanbul, specifically at the Maslak Business District campus. The scope encompasses the design, integration, programming, and maintenance of industrial robotic systems, collaborative robot (cobot) workstations, and automated guided vehicle (AGV) fleets currently deployed across our Istanbul production lines.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order regarding the Robotics Engineer engagement in Turkey Istanbul shall be subject to the exclusive jurisdiction of the Istanbul Commercial Courts.
- Commencement Date: The Robotics Engineer shall report to the Meridian facility in Turkey Istanbul no later than 1 July 2025. A formal onboarding and site-safety induction specific to the Istanbul campus shall be conducted during the first five (5) working days.
- Working Hours & Location: The Robotics Engineer shall work a standard 45-hour week (Monday to Friday, 08:30–17:30) at the Maslak, Istanbul office and production floor. Remote work is not permitted for this Purchase Order engagement due to the hands-on nature of robotic system commissioning.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made via bank transfer to the IBAN specified above within thirty (30) calendar days of invoice receipt. All payments are denominated in Turkish Lira (TRY) and subject to the prevailing VAT rate applicable in Turkey Istanbul.
- Intellectual Property: All designs, code, schematics, and documentation produced by the Robotics Engineer under this Purchase Order shall be the sole property of Meridian Industrial Automation Solutions Ltd. The Robotics Engineer shall sign a non-disclosure and IP assignment agreement prior to commencing work in Turkey Istanbul.
- Compliance & Safety: The Robotics Engineer must hold a valid Turkish professional engineering license (Yeminli Mühendis or equivalent) and comply with all occupational health and safety regulations enforced by the Istanbul Provincial Directorate of Labor. Compliance with ISO 10218-1, ISO 10218-2, and ISO/TS 15066 is mandatory for all robotic work performed under this Purchase Order.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the Robotics Engineer shall complete all in-progress commissioning tasks and deliver all documentation before vacating the Turkey Istanbul site.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in Turkey Istanbul, or supply-chain disruptions affecting robotic components.
- Confidentiality: The Robotics Engineer shall treat all proprietary manufacturing processes, product designs, and client information encountered at the Turkey Istanbul facility as strictly confidential for a period of three (3) years following the conclusion of this Purchase Order.
- Warranty of Services: The Robotics Engineer warrants that all work performed under this Purchase Order shall be carried out in a professional and workmanlike manner, in accordance with industry best practices for robotic system engineering in Turkey Istanbul.
